  • Joint Venture / Consortium In case of Joint Venture:

    1. Separate identity/name shall be given to the Joint Venture.
    2. The Bid should be submitted in the name of the JV.
    3. Maximum number of partners in the JV shall be limited to 5 (five).
    4. One of the members of the JV shall be its lead member who shall have not less than 26% share of interest in the JV. The other members shall have a share of not less than 10% each.
    5. An entity participating in this tendering process either as a single entity or as a member of JV shall not be permitted to participate as a member of another JV. In other words, participation by an entity in the tendering process as a member of a JV will be tantamount to participation in the bidding process and that entity shall not be permitted to participate as a single entity. All Bids of all such entities will be rejected if provisions of this para are violated and bid security will be forfeited.
    6. Joint and Several Liability - Members of the JV to which the contract is awarded, shall be jointly and severally liable to KRCL for execution of the work in accordance with conditions of this tender document. The JV members shall also be liable jointly and severally for the loss, damages caused to the KRCL during the course of execution of the contract or due to non- execution of the contract or part thereof.
    7. Duration of the Joint Venture Agreement - shall be valid during the entire currency of the License including the period of extension, if any.
    8. Governing Laws - The Joint Venture Agreement shall in all respect be governed by and interpreted in accordance with Indian Laws.
    9. The JV shall authorize a representative (lead partner only) who shall have the authority to conduct all business and sign the documents for and on behalf of JV during the bidding process and subsequent stages.
    10. A copy of Memorandum of Understanding (MOU) duly executed by the JV members on a stamp paper duly notarized shall be submitted by the JV along with the Bid. The complete details of the members of the JV, their share and responsibility in the JV particularly with reference to financial, technical and other obligations shall be furnished in the MOU.
    11. The constitution of the JV/Consortium shall not be allowed to be modified after submission of the Bid by the JV/Consortium except when modification becomes inevitable due to succession laws etc., and the reconstituted JV should still fulfill the original eligibility criteria and selection criteria of the tender and the terms and conditions for the members of the JV/Consortium therein, based on which selection is contemplated. However, the Lead Member shall continue to be the Lead Member of the JV. Failure to observe this requirement would render the offer invalid.
    12. On award of License to a JV, Performance Guarantee shall be submitted by the JV as per Bid conditions. All the Guarantees like Performance Guarantee/Bank Guarantee etc. shall be accepted only in the name of the JV and no splitting of guarantees amongst the members of the JV shall be permitted.
    13. On issue of LOA, the MOU/JV agreement among the members of the JV to whom the work has been awarded, with the same shareholding pattern as was declared in the MOU/JV Agreement submitted along with the Bid, shall be registered. A separate PAN shall be obtained for this entity. JV agreement will be valid for the entire contract period. The joint venture agreement should lay down the responsibility regarding Award of the subject

Commercial-Compliance

  • Stamp Duty / Cost / Expense Bearing If the Tenderer desires to get the Contract Agreement registered as per law of the land, he shall be solely responsible for registration of the Contract Agreement. All costs, charges and expenses of and incidental to completing, executing and registering the Contract Agreement in duplicate, including stamp duty and registration charges shall be borne and paid by the Successful Bidder

  • There shall be no commercial advertisements allowed on the outlet, except information about the product or branding of their company. There shall not be any sort of obscenity or vulgarity in the design and branding on the outlet, and KRCL reserves the unconditional right to disallow any sort of display on the outlet. Licensee shall not solicit or permit any advertisement/ publicity/ sponsorship activity, directly or indirectly, in the premises of the allotted area, other than information of their premium products/services. Any violation in this regard shall invite punitive measures by KRCL Administration, including termination of the Contract and forfeiture of the Security Deposit.

  • The Licensee / Successful Bidder shall not assign, transfer, mortgage, sublet, and/or, sell this Contract, and/or his rights and privileges granted by way of license in this Contract, whether partly or fully, to any person, whosoever. Any such action shall result in the License automatically getting cancelled, resulting in forfeiture of the License Fee and Security Deposit. Further, KRCL may also ban/ debar the business dealings with the Licensee.

Special Conditions

  • Konkan Railway Corporation Ltd invites open tenders for Award of contract for "Setting-up, Operations and Management of Branded outlet at Madgaon Railway Station (PF-1) on Konkan Railway" from the well-known brands owning Company / franchise.

  • There will be two separate contracts will be awarded. The area of each contract is shown in the drawing ( marked as Annexure- A) as under :

    1. Part - A : The total tentative area is 135.82 sq.m. ( approx). However at the time of handing over of the possession of land, exact area will be measured and accordingly license fee will be charged on actual area on pro-rata basis. Licensee will be permitted to make access from platform side as well as opposite side.
    2. Part - B : The total area is having 101.42 sq.m ( approx). However at the time of handing over of possession of land, exact area will be measured and accordingly license fee will be charged on actual area on pro-rata basis. Licensee will be permitted to make access from platform side as well as opposite side.
  • Additional area The licensee may be permitted to use additional area for the subject contract, with prior permission of KRCL in writing, provided that space / area is available. In such case, licensee will bear the cost of construction both interior / exterior and will pay license fee on pro-rata basis after 45 days OR date of actual commencement of service at this extended area, whichever is earlier.

  • In case both the contracts are awarded to one party, then licensee may be permitted to utilise whole area i.e. Part-A & Part-B as per their need / requirements.

  • A copy of Engineering plan is attached as Annexure-B, the licensee should ensure the followingi.The wall to be retained shown in color Grayii.The internal wall to be constructed is shown in red colour , KRCL will construct this wall and will handover to the licensee. The entry (1.5 mt or 2 meter) may be kept, if required while erecting the wall.iii.The internal wall to be dismantle are shown (xx)iv.The staircase (RCC) can be relocated in the same area with the approval of KRCL and cost of relocation will be bear by the licensee. This staircase can be made RCC/MS

  • Space provision of ancillary services i.e Maintenance/ support equipment and functions will be provided free of cost, provided that space is not used for commercial purpose.

  • For the provision of RO water KRCL will make the necessary arrangement near the watertank, however, all costs related to fittings, pipelines and other associated works shall be borne by the tenderer .

  • The licensee will make necessary arrangement to fix the exhaust (Chimney)

  • Period for renovation / modification works The renovation / modification and other related works shall be completed within 120 days from the date of physical possession of site and the outlet shall be made functional in all respect within this period. The license fee will not be levied for this period. The date of the commencement of the Contract shall be starts from 120 days or actual commencement of the contract whichever is earlier. In case the Licensee fails to complete the renovation / modification work within a period of 120 days, the contract shall be terminated. In such case the EMD shall be forfeited and the Licensee may also be banned from participating in any such Tender of KRCL for the next 3 years.

Technical-Compliances

  • 1.The intending tenderer is advised to study the tender papers carefully. Any submission of a Bid by the Bidder shall be deemed to have been done after a careful study and examination of these documents with full understanding of the implication thereof. These conditions and specifications shall be deemed to have been accepted unless otherwise, specifically commented upon by the Bidder in his/her Bid. Failure to adhere to any one or all these instructions may render his offer liable to be ignored without any reference.

  • 2.The intending Bidder is advised to physically check the locations of the subject contract at the Madgaon Railway Station over Konkan Railway. The intending Bidders can take help of commercial Supervisor to check the locations of the tender area from the date of issue of Notice Inviting Tender. Any submission of a Bid by the Bidder for the tender area shall be deemed to have been done after careful checking and understanding of the location and latest position of tender area. Any difficulty being faced by the Bidder during the execution of Contract shall not be entertained by KRCL.

  • The successful bidder shall be required to submit a Conceptual plan duly showing the overview and the overall design / specifications to KRCL for scrutiny and will be executed on receipt of proper written approval of KRCL. KRCL name, logo slogans, messages shall be provided at prominent locations.
