OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Actual delivery (and Installation & Commissioning (if covered in scope of supply)) is to be done at following address ICAR CISH Lucknow Rehmankhera Kakori- 226101 .

Bidder financial standing: The bidder should not be under liquidation, court receivership or similar proceedings, should not be bankrupt. Bidder to upload undertaking to this effect with bid.

Bidders are advised to check applicable GST on their own before quoting. Buyer will not take any responsibility in this regards. GST reimbursement will be as per actuals or as per applicable rates (whichever is lower), subject to the maximum of quoted GST %.

Experience Criteria: The Bidder or its OEM {themselves or through reseller(s)} should have regularly, manufactured and supplied same or similar Category Products to any Central / State Govt Organization / PSU for 3 years before the bid opening date. Copies of relevant contracts to be submitted along with bid in support of having supplied some quantity during each of the year. In case of bunch bids, the primary product having highest value should meet this criterion.

Installation, Commissioning, Testing, Configuration, Training (if any - which ever is applicable as per scope of supply) is to be carried out by OEM / OEM Certified resource or OEM authorised Reseller.

IT equipment shall be IPv6 ready from day one.

Malicious Code Certificate: The seller should upload following certificate in the bid:-

• (a)This is to certify that the Hardware and the Software being offered, as part of the contract, does not contain Embedded Malicious code that would activate procedures to :-
• (i)Inhibit the desires and designed function of the equipment.
• (ii)Cause physical damage to the user or equipment during the exploitation.
• (iii)Tap information resident or transient in the equipment/network.
• (b)The firm will be considered to be in breach of the procurement contract, in case physical damage, loss of information or infringements related to copyright and Intellectual Property Right (IPRs) are caused due to activation of any such malicious code in embedded software.

Manufacturer Authorization:Wherever Authorised Distributors/service providers are submitting the bid, Authorisation Form /Certificate with OEM/Original Service Provider details such as name, designation, address, e-mail Id and Phone No. required to be furnished along with the bid

Products supplied shall be nontoxic and harmless to health. In the case of toxic materials, Material Safety Data Sheet may be furnished along with the material.

Scope of supply includes Training: Number of employees to be trained 2 , Place for Training ICAR CISH Lucknow Rehmankhera Kakori and Duration of training 2 days.

Supplier shall ensure that the Invoice is raised in the name of Consignee with GSTIN of Consignee only.

The successful bidder has to supply all essential accessories required for the successful installation and commissioning of the goods supplied. Besides standard accessories as per normal industry practice, following accessories must be part of supply and cost should be included in bid price: yes .

While generating invoice in GeM portal, the seller must upload scanned copy of GST invoice and the screenshot of GST portal confirming payment of GST.

Scope of supply (Bid price to include all cost components) : Supply Installation Testing and Commissioning of Goods

Warranty period of the supplied products shall be 5 years from the date of final acceptance of goods or after completion of installation, commissioning & testing of goods (if included in the scope of supply), at consignee location. OEM Warranty certificates must be submitted by Successful Bidder at the time of delivery of Goods. The seller should guarantee the rectification of goods in case of any break down during the guarantee period. Seller should have well established Installation, Commissioning, Training, Troubleshooting and Maintenance Service group in INDIA for attending the after sales service. Details of Service Centres near consignee destinations are to be uploaded along with the bid.

Timely Servicing / rectification of defects during warranty period: After having been notified of the defects / service requirement during warranty period, Seller has to complete the required Service / Rectification within 5 days time limit. If the Seller fails to complete service / rectification with defined time limit, a penalty of 0.5% of Unit Price of the product shall be charged as penalty for each week of delay from the seller. Seller can deposit the penalty with the Buyer directly else the Buyer shall have a right to recover all such penalty amount from the Performance Security (PBG).Cumulative Penalty cannot exceed more than 10% of the total contract value after which the Buyer shall have the right to get the service / rectification done from alternate sources at the risk and cost of the Seller besides forfeiture of PBG. Seller shall be liable to re-imberse the cost of such service / rectification to the Buyer.

Successful Bidder can submit the Performance Security in the form of Fixed Deposit Receipt also (besides PBG which is allowed as per GeM GTC). FDR should be made out or pledged in the name of ICAR UNIT CISH A/C (Name of the Seller). The bank should certify on it that the deposit can be withdrawn only on the demand or with the sanction of the pledgee. For release of Security Deposit, the FDR will be released in favour of bidder by the Buyer after making endorsement on the back of the FDR duly signed and stamped along with covering letter. Successful Bidder has to upload scanned copy of the FDR document in place of PBG and has to ensure delivery of hard copy of Original FDR to the Buyer within 15 days of award of contract.

• 1.Warranty: The equipment shall be covered by a warranty of Five (05) years from the date of install ation. The successful bidder shall submit a Performance Security amounting to 5% (five percent) of the purchase/order value in the form of a Demand Draft (DD)/Fixed Deposit Receipt (FDR) in favour of ICAR-UNIT-CISH, Lucknow. No interest shall be paid by the Institute on the Performance Security. The validity of the Performance Security shall extend for a period of 60 days beyond the completion of the warranty period. The successful bidder shall deposit the Performance Security as per the appl icable rules, equivalent to 5% of the ordered value of the goods.
• 2.Delivery: The equipment shall be delivered complete with all components, accessories, and necess ary parts at the consignee's location.
• 3.Inclusive Rates: The rates quoted by the firm shall be inclusive of GST, freight, transportation, ins urance, and all other applicable charges, if any.
• 4.Price Variation: No upward revision in the quoted rates shall be accepted during the supply order/ contract period or any extension thereof, if granted.
• 5.Documents to be Submitted with the Technical Bid: The following documents shall be submit ted along with the Technical Bid:
• a)Document clearly mentioning the brand/make and model of the equipment, along with the releva nt technical brochure/catalogue.
• b)Copy of the firm's valid GST Registration Certificate and PAN Card.
• c)Duly filled and signed Bid Security Declaration, Technical Bid, Price Bid Undertaking, Tender Acc eptance Letter, and Original Equipment Manufacturer (OEM) Authorization Letter, wherever applica ble, as prescribed in the bid document.
• 6.Payment: Payment shall be made through electronic mode after satisfactory completion of the sup ply, in accordance with applicable GeM terms and conditions, and after verification and acceptance of the supplied equipment by the concerned official of the Institute. No payment shall be made for a ny unsatisfactory, incomplete, or defective supply.
• 7.DSIR Certificate: The Institute possesses a valid DSIR certificate. The same may be provided to th e successful bidder/firm, if required.
• 8.Conditional Offers: Conditional offers shall not be accepted and shall be liable to rejection.
• 9.Opening of Financial Bid: The Financial Bid of only those firms/bidders who qualify in the Technic al Bid evaluation of the GeM Bid shall be opened/considered.
• 10.Compliance with Specifications: Bids not conforming to the prescribed specifications (copy enclo sed) shall not be considered. The manufacturer/dealer shall quote only one make and model of the equipment in accordance with the prescribed specifications. The firm must clearly mention the mak e, model, model number, and other relevant details of the equipment. The firm shall also submit its offer supported by relevant technical documents and a copy of its valid GST Registration Certificate.
• 11.FOR Basis: The quoted rate shall be on F.O.R. basis up to ICAR-CISH, Rehmankhera, Lucknow.
• 12.Authorization: The bidder/dealer shall submit valid authorization from the Principal/OEM, wherever applicable, establishing its status as an authorized Agent/Dealer/Sub-dealer. Offers from unauthoriz ed agents/dealers shall not be accepted.
• 13.Liquidated Damages: In the event of delay in delivery beyond the stipulated delivery period, Liqui dated Damages (LD) at the rate of 0.5% of the value of the delayed goods/services per week or part thereof shall be levied, subject to the applicable rules. The total amount of Liquidated Damages shal l not exceed 10% of the value of the delayed goods/services.
• 14.Right to Cancel: The Director, ICAR-CISH, Lucknow, reserves the right to cancel/withdraw the GeM Bid/Tender, wholly or partly, at any stage, without assigning any reason thereof, subject to the appli cable rules and regulations. Dispute Resolution Mechanism: If any dispute or difference of any kind arises bet ween the Purchaser and the Supplier in connection with or arising out of the contract, the parties shall make every effort to resolve the same amicably through mutual disc ussion. However, if the parties fail to resolve the dispute or difference through such mutual discussions within 30 days, either party may give notice to the other party of its intention to refer the matter to arbitration. The arbitration shall be conducted by a sole arbitrator appointed by the Director, ICAR-CISH, Lucknow, and the arbitration p roceedings shall be conducted in accordance with the applicable provisions of the Ar bitration and Conciliation Act, 1996, as amended from time to time. The venue of arb itration shall be ICAR-CISH, Lucknow, from where the contract is issued. No TA/DA or any other expenses shall be payable by the Institute to the firm in connection with th e arbitration proceedings. In case of any legal dispute arising out of or in connection with the contract, the courts at Lucknow, Uttar Pradesh, India, shall have jurisdiction. .
