OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

All expenses related to the demonstration shall be borne by the bidder. F ailure to arrange or successfully demonstrate the equipment/product to the satisfactio n of the Committee may result in rejection of the bid at the technical evaluation stage. If the Tenderer fails to submit such inform ation and during the tenure of contract if such information reveals, that shall invi te legal action and black-listing as well.

• A.The tender shall be governed by the following terms and conditions:
• I.Any bidder from a country which shares a land border with India will be eligible to bid i n this tender only if the bidder is registered with the Competent Authority as specifie d in Order (Public Procurement No.1) F.No.6/18/2019- PPD Dated 23.07.2020 issued by Ministry of Finance, Department of Expenditure, Public Procurement Division and as amended from time to time. • f)A natural person who is a citizen of such a country; or
• g)A consortium or joint venture where any member of the consortium or joint ven ture falls under any of the above IV. The beneficial owner for the purpose of (iii) above will be as under:
• 1.In case of a company or Limited Liability Partnership, the beneficial owner is the natural person(s), who, whether acting alone or together, or through one or more juridical person , has a controlling ownership interest or who exercises control through other means. Explanation-
• a)"Controlling ownership interest" means ownership of or entitlement to more than twenty-five percent of shares or capital or profits of the company;
• b)"Control" shall include the right to appoint majority of the directors or to co ntrol the management or policy decisions including by virtue of their shareholdi ng or management rights or shareholders agreements or voting agreements;
• 2.In case of a partnership firm, the beneficial owner is the natural person(s) who, wh ether acting alone or together, or through one or more juridical person, has ownersh ip of entitlement to more than fifteen percent of capital or profits of the partnership;
• 3.In case of an unincorporated association or body of individuals, the beneficial own er is the natural person(s), who, whether acting alone or together, or through one or more juridical person, has ownership or entitlement to more than fifteen percent of t he property or capital or profits of such association or body of individuals;
• 4.Where no natural person is identified under (1) or (2) or (3) above, the beneficial owner i s the relevant natural person who holds the position of senior managing official;
• 5.In case of a trust, the identification of beneficial owner(s) shall include identificati on of the author of the trust, the trustee, the beneficiaries with fifteen percent or m ore interest in the trust and any other natural person exercising ultimate effective c ontrol over the trust through a chain of control or ownership.
• V.An Agent is a person employed to do any act for another, or to represent another in deali ngs with third person. VI. The successful bidder shall not be allowed to sub-contract works to any contractor from a c ountry which shares a land border with India unless such contractor is registered with the Competent Authority. VII. Certificate regarding compliance: A certificate shall be provided by bidders in the te nder documents regarding their compliance with these clauses. If such certificate given by a bidder whose bid is accepted is found to be false, this would be a ground for im mediate termination and further legal action in accordance with law. VIII. Validity of registration: In respect of tenders, registration should be valid at the time of sub mission of bids and at the time of acceptance of bids. If the bidder was validly registered at the time of acceptance / placement of order, registration shall not be a relevant consid eration during contract execution.
