OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Scope of supply (Bid price to include all cost components) : Only supply of Goods

• 3.Purchase Preference (Centre) Purchase preference to Micro and Small Enterprises (MSEs): Purchase preference will be given to MSEs as defined in Public Procurement Policy for Micro and Small Enterprises (MSEs) Order, 2012 dated 23.03.2012 issued by Ministry of Micro, Small and Medium Enterprises and its subsequent Orders/Notifications issued by concerned Ministry. If the bidder wants to avail the Purchase preference, the bidder must be the manufacturer of the offered product in case of bid for supply of goods. Traders are excluded from the purview of Public Procurement Policy for Micro and Small Enterprises. In respect of bid for Services, the bidder must be the Service provider of the offered Service. Relevant documentary evidence in this regard shall be uploaded along with the bid in respect of the offered product or service. If L-1 is not an MSE and MSE Seller (s) has/have quoted price within L-1+ 15% of margin of purchase preference /price band defined in relevant policy, such Seller shall be given opportunity to match L-1 price and contract will be awarded for percentage of 25% of total value.

Bidder's offer is liable to be rejected if they don't upload any of the certificates / documents sought in the Bid document, ATC and Corrigendum if any.

Material Test Certificate Should Be Sent Along with The Supply. The Material Will Be Checked by Buyer’s Lab & the Results of the Lab will be the Sole Criteria for Acceptance of the Item.

The bidder is required to upload, along with the bid, all relevant certificates such as BIS licence, type test certificate, approval certificates and other certificates as prescribed in the Product Specification given in the bid document.

To be eligible for award of contract, Bidder / OEM must possess following Certificates / Test Reports on the date of bid opening (to be uploaded with bid): Bidder to provide OEM authorization/dealership certificate along with bid. Failing which offer won’t be cons idered. .

Warranty period of the supplied products shall be 1 years from the date of final acceptance of goods or after completion of installation, commissioning & testing of goods (if included in the scope of supply), at consignee location. OEM Warranty certificates must be submitted by Successful Bidder at the time of delivery of Goods. The seller should guarantee the rectification of goods in case of any break down during the guarantee period. Seller should have well established Installation, Commissioning, Training, Troubleshooting and Maintenance Service group in INDIA for attending the after sales service. Details of Service Centres near consignee destinations are to be uploaded along with the bid.

Buyer Added text based ATC clauses

• (I)Bidder to provide valid bid specific authorization from OEM at the ti me of bidding , else offer won't be considered.
• (II)Payment Terms 100% payment against receipt, inspection, accepta nce of material by the consignee at destination and submission of Perf ormance Guarantee for the warranty obligations of 10% of the contract value.
• (III)Performance Guarantee for the warranty obligations, of 10% of th e contract value to be submitted at time of supply valid for 3 months b eyond the free warranty period. The consignee officials to ensure that t he Performance Guarantee is received and given to purchase office an d purchase office has ensured its authenticity, before releasing CRAC.
• (IV)Bidder to provide detailed product sheet and specification sheet of the offer. Failing which offer may not be considered.
• (V)All applicable bidders should submit the Earnest Money Deposit EM D within date of closing of bid or extended date of closing of bid, which ever is latter. EMD is 2% of estimated value of bid, for bid value more t han Rs. 25 lakhs. The EMD shall remain valid for a period of four (4) m onths beyond the date of opening of bid. • (VI)Bidders, who are traders, dealers, distributors, or authorized agent s of the OEM of the offered product, shall not be eligible for exemption from Earnest Money Deposit (EMD) or for claiming Purchase Preference under the MSE-Public Procurement Policy (MSE-PPP), notwithstanding t heir registration as an MSE on the UDYAM Registration Portal. Such be nefits shall be admissible to bidders who are MSE manufacturers of the offered products and NOT to traders, dealers, distributors, or authorize d agents of the OEM of the offered product.
• (VII)“Bidders shall submit a Security Deposit equivalent to 5% of the c ontract value for contracts with a total value of ₹25 lakh or above. The Security Deposit shall be furnished with valid supporting documents wi thin 21 days from the date of placement of contract. The Security Dep osit shall remain valid for a period of three months beyond the success ful completion of supply of all items under the contract.”
• (VIII)Ambiguous offers like 1. Unbranded items, 2. Make/brand as NA, As per tender/, similar…., 3. Not adhering to tender specification, 4. Un clear makes, brands, etc will be summarily rejected without any corres pondence.
• (IX)Inspection by RITES Inspection Agency for minimum order of Rs.5, 00,000 else Inspection by Consignee.
