OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Bidders can also submit the EMD with Account Payee Demand Draft in favour of Dr. B. Borooah Cancer Institute payable at Guwahati . Bidder has to upload scanned copy / proof of the DD along with bid and has to ensure delivery of hardcopy to the Buyer within 5 days of Bid End date / Bid Opening date.

Bidders can also submit the EMD with Fixed Deposit Receipt made out or pledged in the name of A/C Dr. B. Borooah Cancer Institute, Guwahati . The bank should certify on it that the deposit can be withdrawn only on the demand or with the sanction of the pledgee. For release of EMD, the FDR will be released in the favour of the bidder by the Buyer after making endorsement on the back of the FDR duly signed and stamped along with covering letter. Bidder has to upload scanned copy/ proof of the FDR along with bid and has to ensure delivery of hardcopy to the Buyer within 5 days of Bid End date/ Bid Opening date

Bidders can also submit the EMD with Banker’s Cheque in favour of Dr. B. Borooah Cancer Institute payable at Guwahati . Bidder has to upload scanned copy / proof of the BC along with bid and has to ensure delivery of hardcopy to the Buyer within 5 days of Bid End date / Bid Opening date.

Actual delivery (and Installation & Commissioning (if covered in scope of supply)) is to be done at following address Store Department, Dr. B. Borooah Cancer Institute AK Azad Road Gopinath Nagar Guwahati Assam-781016 .

Bidder shall submit the following documents along with their bid for Vendor Code Creation:

• a.Copy of PAN Card.
• b.Copy of GSTIN.
• c.Copy of Cancelled Cheque.
• d.Copy of EFT Mandate duly certified by Bank.

Data Sheet of the product(s) offered in the bid, are to be uploaded along with the bid documents. Buyers can match and verify the Data Sheet with the product specifications offered. In case of any unexplained mismatch of technical parameters, the bid is liable for rejection.

Installation, Commissioning, Testing, Configuration, Training (if any - which ever is applicable as per scope of supply) is to be carried out by OEM / OEM Certified resource or OEM authorised Reseller.

Manufacturer Authorization:Wherever Authorised Distributors/service providers are submitting the bid, Authorisation Form /Certificate with OEM/Original Service Provider details such as name, designation, address, e-mail Id and Phone No. required to be furnished along with the bid

Scope of supply includes Training: Number of employees to be trained 7 , Place for Training BBCI Guwahati and Duration of training 3 days.

Without prejudice to Buyer’s right to price adjustment by way of discount or any other right or remedy available to Buyer, Buyer may terminate the Contract or any part thereof by a written notice to the Seller, if:

• i)The Seller fails to comply with any material term of the Contract. ii) The Seller informs Buyer of its inability to deliver the Material(s) or any part thereof within the stipulated Delivery Period or such inability otherwise becomes apparent. iii) The Seller fails to deliver the Material(s) or any part thereof within the stipulated Delivery Period and/or to replace/rectify any rejected or defective Material(s) promptly. iv) The Seller becomes bankrupt or goes into liquidation.
• v)The Seller makes a general assignment for the benefit of creditors. vi) A receiver is appointed for any substantial property owned by the Seller. vii) The Seller has misrepresented to Buyer, acting on which misrepresentation Buyer has placed the Purchase Order on the Seller.

Scope of supply (Bid price to include all cost components) : Supply Installation Testing Commissioning of Goods and Training of operators and providing Statutory Clearances required (if any)

Dedicated /toll Free Telephone No. for Service Support : BIDDER/OEM must have Dedicated/toll Free Telephone No. for Service Support.

Escalation Matrix For Service Support : Bidder/OEM must provide Escalation Matrix of Telephone Numbers for Service Support.

Bidder's offer is liable to be rejected if they don't upload any of the certificates / documents sought in the Bid document, ATC and Corrigendum if any.

Warranty period of the supplied products shall be 2 years from the date of final acceptance of goods or after completion of installation, commissioning & testing of goods (if included in the scope of supply), at consignee location. OEM Warranty certificates must be submitted by Successful Bidder at the time of delivery of Goods. The seller should guarantee the rectification of goods in case of any break down during the guarantee period. Seller should have well established Installation, Commissioning, Training, Troubleshooting and Maintenance Service group in INDIA for attending the after sales service. Details of Service Centres near consignee destinations are to be uploaded along with the bid.

Successful Bidder can submit the Performance Security in the form of Account Payee Demand Draft also (besides PBG which is allowed as per GeM GTC). DD should be made in favour of Dr. B. Borooah Cancer Institute payable at Guwahati . After award of contract, Successful Bidder can upload scanned copy of the DD in place of PBG and has to ensure delivery of hard copy to the original DD to the Buyer within 15 days of award of contract.

Buyer Added text based ATC clauses

• 1.Bidder participating in this bid shall invariably enclose along with the offer, a self- declared under taking as per Rule 144(xi) of GFR 2017 and amendments, if any (Annexure-I of the bid), failing which Bid will be rej ected (Any change in the format shall lead to rejection of the bid).
• 2.Rectification And Replacement Of Defective Stores: In case repair/replacement of defective / rejecte d stores during warranty period is necessary and becomes essential to return the stores, to the contractor, where full or part payment has already been made by the purchaser, the contractor shall submit bank gua rantee for the value of stores so found defective/rejected as per Annexure-II valid till receipt and accepta nce of repaired / replaced / entire stores within fifteen days of intimation to collect the stores. However, th e contractor will not be absolved from his responsibility y as specified in the bid document.
• 3.Bidder should confirm the Local Content for the quoted product as per Annexure-III of the bid, failing whic h Bid will be rejected. Any change in the prescribed format, offer shall summarily be rejected.
• 4.The offer must be inclusive of all consumables and the calibration kit required for operationali zation, testing, commissioning and training of the equipment.
• 5.The tenderer shall offer the rate of consumables, if applicable, in the prescribed Excel file (Bidder should n ot upload the rates in technical offer). The quoted rates for consumables should be valid for 2 years from t he date of contract for the tendered item i.e., ICU Ventilator. The successful bidder should supply the con sumables within 30 days from the date of order. However, BBCI reserves the right to place a separate cont ract based on the finalized consumable rates for the consumables items, if required.
• 6.Availability of Service Centers: Bidder/OEM must have a Functional Service Centre in India. Bidder sho uld upload documentary evidence along with the offer.
• 7.Bidders shall quote only those products (Part of Service delivery) in the bid which are not obsolete in the m arket and has at least 10 (ten) years residual market life i.e. the offered product shall not be declared end of-life by the OEM before this period. Bidder should upload self-declaration along with the offer.
• 8.Submission of offer shall be deemed acceptance of all terms and conditions mentioned in the bid documen ts including delivery period, payment, ePBG, etc. Any deviation found in uploaded documents shall not be considered. The GeM GTC, STC and also all the clauses incorporated by the Buyer in ATC and various corri gendum of the bid will be final.
• 9.Bidder should upload duly filled compliance statement with actual values (do not mention yes / of / accept able / compliance etc. wherever possible).
• 10.List of current installation: Provide a list of current installations of the quoted model in India during the last 2–3 years, along with complete end-user contact details, including name of the organization, contact p erson, email ID, and phone number.
• 11.Physical Demonstration: After opening of the Technical Bid (Part-I/Packet-I), the bidder may be required to arrange a physical demonstration of the quoted model, if requested by the Institute. The physical demo nstration may be sought to verify the availability and compliance of any or all technical features as specifi ed in the Technical Bid. Such demonstration shall form an integral part of the technical e valuation process . Failure to arrange or comply with the physical demonstration requirement shall render the bid liable for r ejection/disqualification. The demonstration must strictly be of the quoted model only. Demonstration of si milar or alternative models with different technical specifications or features shall not be accepted.
• 12.Earnest Money Deposit (EMD) and Affidavit: The EMD and Affidavit in original shall be sent to "Admin istrative Officer-III (Purchase), Procurement Department, Room No: 218, 2nd Floor Administrative Block, Dr . B. Borooah Cancer Institute, AK Azad Road, Gopinath Nagar, Guwahati, Assam-781016” in a sealed envel ope super scribing boldly Bid Number and Due date, so as to reach within the stipulated time i.e. 5 working days of bid opening, failing which the bid may be treated as incomplete & may lead to rejection of the bid by buyer without making any reference to the seller. .
