OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Bidder shall submit the following documents along with their bid for Vendor Code Creation:

• a.Copy of PAN Card.
• b.Copy of GSTIN.
• c.Copy of Cancelled Cheque.
• d.Copy of EFT Mandate duly certified by Bank.

Actual delivery (and Installation & Commissioning (if covered in scope of supply)) is to be done at following address Kota Mil Stn Kota Kota Rajsthan PIN 354001 .

Bidder financial standing: The bidder should not be under liquidation, court receivership or similar proceedings, should not be bankrupt. Bidder to upload undertaking to this effect with bid.

Bidders shall quote only those products (Part of Service delivery) in the bid which are not obsolete in the market and has at least 2 years residual market life i.e. the offered product shall not be declared end-of- life by the OEM before this period.

Bidders are advised to check applicable GST on their own before quoting. Buyer will not take any responsibility in this regards. GST reimbursement will be as per actuals or as per applicable rates (whichever is lower), subject to the maximum of quoted GST %.

NON DISCLOSURE DECLARATION CERTIFICATE (On Bidder Letter Head) to be uploaded with bid:

• 1.I M/s. x-x-x-x hereby declare that I shall not disclose the contract or any provision, specification, plan, design, pattern, sample or information thereof to any third party during and after expiry of Contract.
• 2.If defying the norms as per the Contract a legal action may be taken against me as per the existing Rules.

OPTIONAL SITE VISIT:

• 1.The Bidder is advised to visit and examine the installation site and its surroundings and obtain for itself on its own responsibility all information that may be necessary for preparing the Bid. The costs of visiting the site shall be borne by the Bidder. No any type of extra payment will made by Bidder.
• 2.The Bidder representative shall be allowed entry upon consignee premises for such visits, only upon the express conditions that the Bidder will release and indemnify the Buyer and Consignee against all liabilities arising out of such visit including death or injury, loss or damage to property, and any other loss, damage, costs, and expenses incurred as a result of such visit.
• 3.The Bidder shall not be entitled to hold any claim against Buyer for noncompliance due to lack of any kind of pre-requisite information as it is the sole responsibility of the Bidder to obtain all the necessary information with regard to site, surrounding, working conditions, weather etc. on its own before submission of the bid.

Products supplied shall be nontoxic and harmless to health. In the case of toxic materials, Material Safety Data Sheet may be furnished along with the material.

Shelf Life: The Product/Spare parts to be supplied as part of the services must have minimum 2 yr Shelf Life. On the date of supply, minimum 2 yr usable shelf life should be available / balance.

The successful bidder has to supply all essential accessories required for the successful installation and commissioning of the goods supplied. Besides standard accessories as per normal industry practice, following accessories must be part of supply and cost should be included in bid price: All Works including Name Plate of Park and Coloring .

• 1.The Seller shall not assign the Contract in whole or part without obtaining the prior written consent of buyer.
• 2.The Seller shall not sub-contract the Contract in whole or part to any entity without obtaining the prior written consent of buyer.
• 3.The Seller shall, notwithstanding the consent and assignment/sub-contract, remain jointly and severally liable and responsible to buyer together with the assignee/ sub-contractor, for and in respect of the due performance of the Contract and the Sellers obligations there under.

Scope of supply (Bid price to include all cost components) : Supply Installation Testing and Commissioning of Goods

ISO 9001: The bidder or the OEM of the offered products must have ISO 9001 certification.

Bidder's offer is liable to be rejected if they don't upload any of the certificates / documents sought in the Bid document, ATC and Corrigendum if any.

Warranty period of the supplied products shall be 2 years from the date of final acceptance of goods or after completion of installation, commissioning & testing of goods (if included in the scope of supply), at consignee location. OEM Warranty certificates must be submitted by Successful Bidder at the time of delivery of Goods. The seller should guarantee the rectification of goods in case of any break down during the guarantee period. Seller should have well established Installation, Commissioning, Training, Troubleshooting and Maintenance Service group in INDIA for attending the after sales service. Details of Service Centres near consignee destinations are to be uploaded along with the bid.

Buyer Added text based ATC clauses Liquidated Damages (LD). In the event of suppliers failure to have the equipment or any part / installme nt there of delivered by the date specified in the contract , the buyer may at his discretion with hold any p ayment until the whole of the equipment have been supplied and the buyer may also deducted from the se ller as agreed, LD and not by way of penalty, the sum of 0.5% of the contract price (excluding tax and duti es) of the delayed supplies for each week or part of a week for which the delay has occurred, subject to ma ximum of 10 % of the value of delayed supplies (excluding tax and duties). GST will be applicable addition al LD will be calculated on the basis of total SO value (excluding elements of statutory duties and levies vi z Good and service taxes as indicated in the contract). However, 18 % GST shall be included in LD amount while deducting from payment to vendor. LD Shall be levied for the period for which the suppliers was resp onsible for the delay in delivery i.e. LD shall be waived if the reasons for delay are not attributable to the s upplier. Land Border Certificate. The certificate is required to be submitted in the tender document, failure to s ubmit the certificate will result in the offer being rejected. The land border certificate will include tender do cument Number, bidders name address, contact details, bidders reference number company seal, signatu re and dater of the authorised rep of the bidders. Earliest Acceptance year of Manufacture. The manufacturing date should not be older than six month s from the date of supply. quality /life certificate will need to be submitted alongwith them. Payment Terms. No advance payment will be made. 100% payment after supply, Inspection, Installation, Commissioning and training at consignee. Finalized seller is not to mark the items as delivered on GeM till the inspection report is not provided to Buyer. Fall clause certificate. The price fall clause certificate is required to be submitted that same or similar p roduct at a price that offered in the present bid in respect of any organisation/ department of GOI during t he currency of the Contract and if it is found at any stage the same or similar product was supplied the bid der to organisation/ department of GOI at a lower price during the currency of the contract, then that very price will be applicable to the present case and the difference in the cost would be refunded by the bidder i f the contract has already concluded Finishing of Work:- Final completion of work assumed after doing Coloring of all new and old equipment present in Park. .
