OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

• 2.Turnover Bidder Turn Over Criteria: The minimum average annual financial turnover of the bidder during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the bidder is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria.
• 3.Turnover OEM Turn Over Criteria: The minimum average annual financial turnover of the OEM of the offered product during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the OEM is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria. In case of bunch bids, the OEM of CATEGORY RELATED TO primary product having highest bid value should meet this criterion.

Escalation Matrix For Service Support : Bidder/OEM must provide Escalation Matrix of Telephone Numbers for Service Support.

Warranty period of the supplied products shall be 1 years from the date of final acceptance of goods or after completion of installation, commissioning & testing of goods (if included in the scope of supply), at consignee location. OEM Warranty certificates must be submitted by Successful Bidder at the time of delivery of Goods. The seller should guarantee the rectification of goods in case of any break down during the guarantee period. Seller should have well established Installation, Commissioning, Training, Troubleshooting and Maintenance Service group in INDIA for attending the after sales service. Details of Service Centres near consignee destinations are to be uploaded along with the bid.

After award of contract – Successful Bidder shall have to get Detailed Design Drawings approved from buyer before starting fabrication. Successful Bidder shall submit Detailed Design Drawings for Buyer's approval, within 5 days of award of contract. Buyer shall, either approve the drawings or will provide complete list of modification required in the drawings within 5 days. Seller shall be required to ensure supply as per approved Drawings with modifications as communicated by Buyer. If there is delay from buyer side in approval of drawing– the delivery period shall be refixed without LD for the period of delay in approval of Drawing.

Bidder financial standing: The bidder should not be under liquidation, court receivership or similar proceedings, should not be bankrupt. Bidder to upload undertaking to this effect with bid.

Scope of supply (Bid price to include all cost components) : Supply Installation Testing and Commissioning of Goods

Bidder's offer is liable to be rejected if they don't upload any of the certificates / documents sought in the Bid document, ATC and Corrigendum if any.

Material Test Certificate Should Be Sent Along with The Supply. The Material Will Be Checked by Buyer’s Lab & the Results of the Lab will be the Sole Criteria for Acceptance of the Item.

ISO 9001: The bidder or the OEM of the offered products must have ISO 9001 certification.

Availability of Service Centres: Bidder/OEM must have a Functional Service Centre in the State of each Consignee's Location in case of carry-in warranty. (Not applicable in case of goods having on-site warranty). If service center is not already there at the time of bidding, successful bidder / OEM shall have to establish one within 30 days of award of contract. Payment shall be released only after submission of documentary evidence of having Functional Service Centre.

Buyer Added text based ATC clauses

• 1.Bid-Specific Manufacturer Authorization Form (MAF) The bidder shall submit a Bid-Specific Manufacturer Authorization Form (MAF) issued by the OEM o n its letterhead, clearly mentioning the GeM Bid Number, bidder name and quoted product. Generic or non-bid-specific authorization shall not be accepted.
• 2.Financial Documents of Bidder 10 / 13 The bidder shall upload the following documents for the last three completed financial years:
• a.Audited Balance Sheets;
• b.Audited Profit and Loss Accounts;
• c.Income Tax Returns;
• d.GSTR-3B returns, wherever applicable; and
• e.Turnover Certificate with valid UDIN.
• 3.OEM Annual Turnover The bidder shall submit the OEM Annual Turnover Certificate for the last three completed financia l years, issued/certified by a Chartered Accountant with valid UDIN, along with supporting financial docu ments wherever required under the bid.
• 4.Notarized Affidavit The bidder shall submit a duly notarized affidavit on the applicable non-judicial stamp paper, clearly menti oning the bid number and confirming:
• a.Acceptance of all bid terms and ATC;
• b.Correctness and authenticity of all uploaded documents;
• c.Confirmation that the bidder is not bankrupt or insolvent; and
• d.Confirmation that no liquidation, winding-up or receivership proceedings are pending.
• 5.Mandatory Management System Certificates The bidder or OEM, as applicable, shall submit valid certificates for:
• a.ISO 9001;
• b.ISO 14001; and
• c.ISO 45001. The certificates shall be issued by certification bodies accredited by an IAF-member accreditation body. Th ey shall cover the relevant manufacturing, fabrication, processing or supply activities and remain valid on the bid submission date.
• 6.ISO Audit Reports The bidder or OEM, as applicable, shall upload the latest surveillance audit report, assessment report or re certification audit report supporting the submitted ISO 9001, ISO 14001 and ISO 45001 certificates.
• 7.EMD Submission The bidder shall submit the prescribed EMD in the form and amount specified in the bid before opening o f the Technical Bid. Valid proof of EMD submission shall be provided as required. Eligible EMD exemption s shall be governed by applicable GeM provisions.
• 8.Validity and Relevance of Documents All certificates, declarations, affidavits, audited financial documents, authorizations, experience documents , EMD documents, audit reports and supporting records shall be valid, complete, legible and relevant to th e bidder, OEM and bid, as applicable.
• 9.Consequences of Non-Compliant Documents Submission of false, altered, expired, misleading, unrelated or unverifiable documents may result in rejecti on of the bid and further action under applicable rules.
• 10.Failure to Submit Mandatory Documents Failure to upload or submit any mandatory document, certificate, audited financial document, EMD/valid e xemption document, Bid-Specific MAF, OEM turnover document or ISO audit report required under the bid, 11 / 13 ATC or corrigendum may result in rejection of the bid. .
