OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

• 2.Turnover Bidder Turn Over Criteria: The minimum average annual financial turnover of the bidder during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the bidder is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria.

IMPORTED PRODUCTS: In case of imported products, OEM or Authorized Seller of OEM should have a registered office in India to provide after sales service support in India. The certificate to this effect should be submitted.

Warranty period of the supplied products shall be 1 years from the date of final acceptance of goods or after completion of installation, commissioning & testing of goods (if included in the scope of supply), at consignee location. OEM Warranty certificates must be submitted by Successful Bidder at the time of delivery of Goods. The seller should guarantee the rectification of goods in case of any break down during the guarantee period. Seller should have well established Installation, Commissioning, Training, Troubleshooting and Maintenance Service group in INDIA for attending the after sales service. Details of Service Centres near consignee destinations are to be uploaded along with the bid.

Data Sheet of the product(s) offered in the bid, are to be uploaded along with the bid documents. Buyers can match and verify the Data Sheet with the product specifications offered. In case of any unexplained mismatch of technical parameters, the bid is liable for rejection.

Buyer Added text based ATC clauses BUYER ADDED ADDITIONAL TERMS AND CONDITIONS (ATC)

• 1.Applicable Terms: The bid and resulting contract shall be governed by the applicable GeM General Term s and Conditions (GTC),category-specific Special Terms and Conditions (STC), system-generated bid conditi ons and these ATCs. Where an ATC conflicts with a mandatory GeM condition or a field in the system-gene rated bid, The applicable GeM condition shall prevail.
• 2.Scope and Specifications: The seller shall supply the items, quantities and specifications state din the Ge M bid/BOQ and the relevant GeM catalogue. Any installation, commissioning other service shall be include d only where stated in the bid or applicable category conditions. The seller shall not substitute an offered i tem without prior approval through the applicable GeM process.
• 3.MP Startup /MSME Benefits: A bidder claiming benefits available under Madhya Pradesh's State startup/ MSME procurement policy shall provide the relevant valid evidence through the GeM bid: Startup: DPIIT re cognition and evidence that its registered office is in Madhya Pradesh. MSME: Valid Udyam registration and evidence that both its registered office and place of work are in Madhya Pradesh. An MP address for corres pondence alone is insufficient. These MP registration requirements apply to the claim for MP-specific benef its; other bidders may participate subject to the published bid eligibility and GeM conditions. MP-specific p urchase preference or reservation shall apply only where the item/service is eligible under the State rules, the necessary approval is in place, and the preference is stated in the bid as permitted by GeM.
• 4.Other Exemptions and Preferences: Startup or MSME status does not automatically grant every exempti on or preference. Claims shall be evaluated under the applicable GeM and Madhya Pradesh rules and the o ptions/conditions published in the bid. No ATC shall override the bid's EMD, performance-security, Make in India or MSE preference fields.
• 5.Technical Offer: The bidder shall submit a technical compliance statement against the published specific ations and supporting product information required by the GeM category or bid. Material deviations from mandatory specifications may be treated as non-responsive in accordance with the bid conditions. No sam ple shall be required during bid evaluation unless permitted under an applicable, approved procurement p olicy and the GeM conditions.
• 6.Quality and Condition: Supplied goods shall be new, unused, genuine and free from defects. Refurbishe d, counterfeit or materially substandard good shall not be accepted. Applicable statutory safety and qualit y requirements shall be met.
• 7.Item-Specific Requirements: Kitchenware, furniture, electrical equipment and books shall conform to the material, dimensions, capacity, rating, title/edition and other parameters expressly stated for those items i n the bid. Any applicable installation, testing, commissioning, warranty and accessories shall be provided as stated in the bid or category conditions.
• 8.Delivery and Inspection: Delivery shall be made to the consignee address and within the delivery period specified in the GeM contract.The consignee may verify quantity, condition and compliance with the publis hed specifications. Receipt of goods alone shall not constitute final acceptance where inspection, installati on or testing is required under the contract.
• 9.Defective or Non-Conforming Goods: Defective, damaged, short-supplied or non-conforming goods shall be dealt with under the applicable GeM contract and category conditions. Replacement or corrective actio n shall follow the timelines and remedies available under those conditions.
• 10.Minimum Warranty and OEM Support: Every supplied item shall carry a comprehensive warranty of atl east ONE (1) year from the date of successful delivery and acceptance, or from installation / commissionin g where applicable under the GeM contract. For electronic items, the warranty shall be backed by the resp ective Original Equipment Manufacturer (OEM), and the seller shall provide the OEM warranty certificate o r other OEM-issued warranty evidence at delivery. No particular brand or OEM is prescribed by this clause. If the bid specification, GeM catalogue, category condition or manufacturer warranty provides a longer peri od, the longer period shall apply. Any item for which a longer warranty is expressly specified, including the four-year battery warranty stated in the attached specification, shall retain that longer warranty. Warranty certificates, manuals and service contact details shall be provided wherever applicable.
• 11.Price and Payment: The contract price, taxes, delivery charges and any installation charges shall be as quoted and accepted through GeM. Payment shall be processed through GeM after the required receipt, in spection/acceptance and invoice procedures are completed..
• 12.Documents and Communication: Bid documents and clarifications shall be submitted through GeM, ex cept where GeM or an applicable rule expressly requires another method. No tender fee or bid participatio n fee is payable unless expressly permitted under the applicable GeM conditions..
• 13.False Information: False or forged information may lead to action under the applicable GeM conditions and law, following the prescribed procedure.
• 14.Bid Amendments and Grievances: Amendments to the bid shall be issued through GeM. Bidders may s ubmit representations through the GeM facility within the applicable period, and the buyer shall respond as required by GeM.
• 15.Required Documents: Documents shall be submitted electronically through the GeM bid at the relevant stage. Requirements below apply only where relevant to the bidder, the item and the eligibility/benefit clai med, and shall be read subject to GeM GTC, the bid fields and category conditions.
• A.Documents with the Bid
• 1.GST registration certificate and PAN: Provide where applicable and where the details are not already veri fiable through the bidder's GeM profile or relevant government database..
• 2.Technical compliance statement: Response against each published specification, with any deviation cle arly identified.
• 3.Electronic items: Product datasheet/brochure showing offered make, model and technical ratings where required to verify compliance. No particular brand or OEM is prescribed..
• 4.Non-blacklisting certificate: On Rs.100 non-judicial stamp paper. Submit a signed declaration stating tha t, on the bid submission date, the bidder is not subject to any current order of blacklisting or debarment by a Central or State Government department, Government organization or PSU. Upload the scanned copy thr ough GeM. An expired blacklisting/debarment period shall not by itself be treated as a current bar. No phy sical copy shall be a pre-condition for bid qualification except where expressly permitted by GeM and appli cable rules.
• 5.Income-tax returns and CA-certified turnover certificate: For the preceding three financial years. Submit only where a corresponding financial eligibility criterion is expressly included in the published bid and appli es to the bidder. Any exemption available to an eligible startup under the applicable Madhya Pradesh polic y shall be given effect; turnover documents shall not be used to defeat that exemption..
• 6.Shops and Establishments registration: Submit only if legally applicable to the bidder or expressly requir ed by law for the relevant contract. It shall not be a blanket qualification condition for bidders to whom it d oes not apply.
• 7.MP MSME benefit/EMD exemption: A bidder claiming MP MSME benefits shall submit valid Udyam registr ation and evidence of MP registered office and place of work. Any EMD exemption shall be decided strictly under the applicable GeM GTC and the EMD fields/ATC published in the bid; for goods, the applicable GeM manufacturer eligibility shall be observed. .
• 8.Startup benefit/relaxation: A bidder claiming startup benefits shall submit valid DPIIT recognition and evidence that its registered office is in Madhya Pradesh. Any experience or turnover relaxation shall be ap plied only as permitted by the applicable MP policy and bid conditions. Startup recognition alone does not waive technical specifications or essential performance requirements.
• 9.Any statutory licence/certificate expressly required for the offered item by the GeM category or publishe d bid.
• 10.Last 6 months GST return file
• B.Documents with Supply/After Award
• 1.Tax invoice and delivery documents as required by the GeM contract.
• 2.For electronic items, OEM-issued warranty certificate/card or equivalent OEM-issued warranty evidence showing at least one (1) year warranty, or the longer period specified in the bid. The four-year battery war ranty in the attached specification shall be documented accordingly.
• 3.User manuals and OEM/service contact details for electronic items, wherever applicable.
• 4.Installation, testing and commissioning report only where those services form part of the GeM contract..
• C.Performance Guarantee:
• 1.To ensure proper execution of the contract, a performance guarantee may be obtained from the succes sful bidder as required. The amount of the performance guarantee will generally be 3% of the contract val ue. The performance guarantee amount can be deposited in cash or in the form of a Demand Draft, Fixed Deposit Receipt, Banker's Cheque, and an irrevocable Bank Guarantee from any commercial bank. The su bmitted bank guarantee will be verified by the concerned bank.
• 2.The performance guarantee must be valid for a period of sixty days beyond the date of completion of all contractual obligations of the supplier, including warranty obligations.
• 3.Upon receipt of the performance guarantee, the bid security will be returned/adjusted for the successful bidder.
• 4.In the case of procurement through a tender on the GeM portal, the Performance Guarantee will be acce pted as per the prevailing provisions of GeM . .
