Bidder shall submit the following documents along with their bid for Vendor Code Creation:

• a.Copy of PAN Card.
• b.Copy of GSTIN.
• c.Copy of Cancelled Cheque.
• d.Copy of EFT Mandate duly certified by Bank.

• 1.The Seller shall not assign the Contract in whole or part without obtaining the prior written consent of buyer.
• 2.The Seller shall not sub-contract the Contract in whole or part to any entity without obtaining the prior written consent of buyer.
• 3.The Seller shall, notwithstanding the consent and assignment/sub-contract, remain jointly and severally liable and responsible to buyer together with the assignee/ sub-contractor, for and in respect of the due performance of the Contract and the Sellers obligations there under.

Without prejudice to Buyer’s right to price adjustment by way of discount or any other right or remedy available to Buyer, Buyer may terminate the Contract or any part thereof by a written notice to the Seller, if:

• i)The Seller fails to comply with any material term of the Contract. ii) The Seller informs Buyer of its inability to deliver the Material(s) or any part thereof within the stipulated Delivery Period or such inability otherwise becomes apparent. iii) The Seller fails to deliver the Material(s) or any part thereof within the stipulated Delivery Period and/or to replace/rectify any rejected or defective Material(s) promptly. iv) The Seller becomes bankrupt or goes into liquidation.
• v)The Seller makes a general assignment for the benefit of creditors. vi) A receiver is appointed for any substantial property owned by the Seller. vii) The Seller has misrepresented to Buyer, acting on which misrepresentation Buyer has placed the Purchase Order on the Seller.

Buyer Added text based ATC clauses

• 1.CONTRACT PERFORMANCE GUARANTEE: As a security towards satisfactory performance of the Contract, the successful Bidder, to whom the work is awarded, shall be required to furnish a Performance Guarantee for the due performance of the Contract in the amount equivalent to Five percent (5%) of the Contract Price in favour of the Employer within 15 days f rom the date of GeM Contract and it shall guarantee the faithful performance of the contract in accordance with the terms and conditions specified in the documents. The guarantee amount shall be encashed by the Employer without any condition whatsoever, in the event of defects or deficiencies which come up during t he validity of the guarantee period. Validity of CPG shall be maintained for a period of 12(Twelve) Months from the date of GeM C ontract. Alternatively, Security deposit @5% of bill shall be deducted towards CPG. Such deduction will be done till security deposit reaches the contract performance guarantee value, i.e. 5% of the contract price. In case, the contractor wishes to opt for Security Deposit (Alternative Clause for CPG), in place of submissio n of CPG, then the contractor shall submit their consent regarding the same in writing to Engineer-in-Char ge within 15 days from the date of issue of Contract.
• 2.Payment Terms:
• A.In case of submission of CPG:
• (i)100% (Hundred Percent) for each item of shall be paid on delivery of items and generation of CRAC by c onsignee ; or
• B.In case of deduction of Security Deposit towards CPG:
• (i)95% (Ninety Five) for each item of shall be paid on delivery of items and generation of CRAC by consign ee
• (ii)Balance 5% (Five Percent) shall be deducted towards security deposit in lieu of CPG and shall be paid o n successful completion of warranty period. .
