OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.
While generating invoice in GeM portal, the seller must upload scanned copy of GST invoice and the screenshot of GST portal confirming payment of GST.
Nominated Inspection Agency: On behalf of the Buyer organization, any one of the following Inspection Agency would be conducting inspection of stores before acceptance: Pre-dispatch Inspection at Seller Premises (applicable only if pre-dispatch inspection clause has been selected in ATC): No Post Receipt Inspection at consignee site before acceptance of stores: Yes
Testing of Sample: The testing of advance sample and bulk sample during PDI will be carried at the designated AHSP labs.When testing facilities are not available, the facilities of Govt labs/NABL/Accredited labs will be utilized. The testing charges outside the designated AHSP labs to be borne by seller's.
- 5.Sample Clause After award of contract – Successful Bidder shall have to get advance sample approved from buyer before bulk manufacturing / starting bulk supplies. Successful Bidder shall submit 1 samples for Buyer's approval, within 7 days of award of contract. Buyer shall, as per contract specifications framework, either approve the advance sample or will provide complete list of modification required in the sample within 15 days of receipt of advance sample. Seller shall be required to ensure supply as per approved sample with modifications as communicated by Buyer. If there is delay from buyer side in approval of advance sample – the delivery period shall be refixed without LD for the period of delay in sample approval. In case, the sample is found to have major deviations / not conforming to the Contract specifications, the buyer at its discretion may call for fresh samples for approval before allowing bulk supplies or may terminate the contract after notifying the deviations to the seller. Unless otherwise provided in the contract, all samples required for test shall be supplied by the contractor free of cost. Where under the contract, the contractor is required to submit an advance sample, any expenses incurred by the contractor on or in connection with the production of stores in bulk, before the sample has been approved unconditionally shall be borne by the Seller and he shall not claim any compensation in the event of such sample being found unacceptable by the Buyer / Consignee.
Bidders can also submit the EMD with Account Payee Demand Draft in favour of In Favour of Chief Engineer Project Udayak C/o 99 APO payable at At Doom Dooma, Assam . Bidder has to upload scanned copy / proof of the DD along with bid and has to ensure delivery of hardcopy to the Buyer within 5 days of Bid End date / Bid Opening date.
Bidders can also submit the EMD with Banker’s Cheque in favour of In Favour of Chief Engineer Project Udayak C/o 99 APO payable at At Doom Dooma, Assam . Bidder has to upload scanned copy / proof of the BC along with bid and has to ensure delivery of hardcopy to the Buyer within 5 days of Bid End date / Bid Opening date.
Successful Bidder can submit the Performance Security in the form of Account Payee Demand Draft also (besides PBG which is allowed as per GeM GTC). DD should be made in favour of In Favour of Chief Engineer Project Udayak C/o 99 APO payable at At Doom Dooma, Assam . After award of contract, Successful Bidder can upload scanned copy of the DD in place of PBG and has to ensure delivery of hard copy to the original DD to the Buyer within 15 days of award of contract.
Successful Bidder can submit the Performance Security in the form of Fixed Deposit Receipt also (besides PBG which is allowed as per GeM GTC). FDR should be made out or pledged in the name of In Favour of Chief Engineer Project Udayak C/o 99 APO A/C (Name of the Seller). The bank should certify on it that the deposit can be withdrawn only on the demand or with the sanction of the pledgee. For release of Security Deposit, the FDR will be released in favour of bidder by the Buyer after making endorsement on the back of the FDR duly signed and stamped along with covering letter. Successful Bidder has to upload scanned copy of the FDR document in place of PBG and has to ensure delivery of hard copy of Original FDR to the Buyer within 15 days of award of contract.
NET WORTH: Net Worth of the OEM should be positive as per the last audited financial statement.

Bidder's offer is liable to be rejected if they don't upload any of the certificates / documents sought in the Bid document, ATC and Corrigendum if any.
Material Test Certificate Should Be Sent Along with The Supply. The Material Will Be Checked by Buyer’s Lab & the Results of the Lab will be the Sole Criteria for Acceptance of the Item.
The bidder is required to upload, along with the bid, all relevant certificates such as BIS licence, type test certificate, approval certificates and other certificates as prescribed in the Product Specification given in the bid document.

- (i)No employee of the Principal/owner, personally or through any of his/h er family members, will in connection with the Tender, or the execution of the Contract, BID NO. GEM/2026/B/8125246 demand, take a promise for or accept, for self or third person any material or immaterial benefit which the person is not legally entitled to.
- (ii)The Principal/Owner will, during the Tender process, treat all Bidder(s) with equity and reason. The Principal /Owner will, in particular, before an d during the Tender process, provide to all Bidder(s)/ the same informatio n and will not provide to any Bidder(s) confidential/ additional information through which the Bidder(s) could obtain an advantage in relation to th e Tender process or the Contract execution.
- (iii)The Principal/Owner shall endeavor to exclude from the Tender proces s any person, whose conduct in the past has been of biased nature.
- (b)If the Principal/Owner obtains information on the conduct of any of its employees which is a criminal offence under the Indian Penal code (IPC)/P revention of Corruption Act, 1988 (PC Act) or is in violation of the principle s herein mentioned or if there be a substantive suspicion in this regard, th e Principal/owner will inform the Chief Vigilance Officer and in addition ca n also initiate disciplinary actions as per its internal laid down policies and procedures.
- 2.Commitment of Bidder(s)/Contractor(s)
- (a)It is required that each Bidder/Contractor (including their respective of ficers, employees and agents) adhere to the highest ethical standards, an d report to the Government/Department all suspected acts of fraud or corr uption or Coercion or Collusion of which it has knowledge or becomes awa re, during the tendering process and throughout the negotiation or award of a contract.
- (b)The Bidder(s)/Contractor(s) commits himself to take all measures nece ssary to prevent corruption. - (i)The Bidder(s)/Contract(s) will not, directly or through any other pers on of firm, offer, promise or give to any of the Principal/Owner’s employee s involved in the Tender process or execution of the Contract or to any third person any material or other benefit which he/she is not legally entitl ed to, in order to obtain in exchange any advantage of any kind whatsoev er during the Tender process or during the execution of the Contract.
- (ii)The Bidder(s)/Contractor(s) will not enter with other Bidder(s) into any undisclosed agreement or understanding, whether formal or informal. This applies in particular to prices, specifications, certifications, subsidiary contracts, submission or non-submission of bids or any other actions to re strict competitiveness or to cartelize in the bidding process.
- (iii)The Bidder(s)/Contractor(s) will not commit any offence under the rele vant IPC/PC Act. Further the Bidder(s)/Contract(s) will not use improperly, (for the purpose of competition or personal gain), or pass on to others, an y information or documents provided by the Principal/ Owner as part of th e business relationship, regarding plans, technical proposals and business details, including information contained or transmitted electronically.
- (iv)The Bidder(s)/Contractor(s) of foreign origin shall disclose the names and addresses of agents/representatives in India, if any. Similarly Bidder(s )/Contractor(s) of Indian Nationality shall disclose names and addresses of foreign agents/representatives, if any. Either the Indian agent on behalf of the foreign principal or the foreign principal directly could bid in a tender but not both. Further, in cases where an agent participate in a tender on behalf of one manufacturer, he shall not be allowed to quote on behalf of another manufacturer along with the first manufacturer in a subsequent/p arallel tender for the same item.
- (v)The Bidder(s)/Contractor(s) will, when presenting his bid, disclose any and all payments he has made, is committed to or intends to make to age nts, brokers or any other intermediaries in connection with the award of th e Contract.
- (c)The Bidder(s)/Contractor(s) will not instigate third persons to commit o ffences outlined above or be an accessory to such offences.
- (d)The Bidder(s)/Contractor(s) will not, directly or through any other pers on or firm indulge in fraudulent practice means a willful misrepresentation or omission of facts or submission of fake/forged documents in order to in duce public official to act in reliance thereof, with the purpose of obtaining unjust advantage by or causing damage to justified interest of others and/ or influence the procurement process to the detriment of the Government interests.
- (e)The Bidder(s)/Contractor(s) will not, directly or through any other pers on or firm use Coercive Practices (means the act of obtaining something, compelling an action or influencing a decision through intimidation, threat or the use of force directly or indirectly, where potential or actual injury m ay befall upon a person, his/her reputation or property to influence their p articipation in the tendering process). - 3.Consequences of Breach Without prejudice to any rights that may be available to the Principa l/owner under law or the Contractor its established policies and laid dow n procedures, the Principal/Owner shall have the following rights in cas e of breach of this Integrity Pact by the Bidder(s)/Contractor(s) and the Bidder/Contractor accepts and undertakes to respect and uphold the Princ ipal/Owner’s absolute right:
- (a)If the Bidder(s)/Contractor(s), either before award or during execution of Contract has committed a transgression through a violation of Para 2 a bove or in any other form, such as to put his reliability or credibility in que stion, the Principal/Owner after giving 14 days notice to the contractor shall have powers to disqualify the Bidder(s)/Contractor(s) from the Tende r process or terminate/ determine the Contract, if already executed or exc lude the Bidder/Contractor from future contract award processes. The imp osition and duration of the exclusion will be determined by the severity of transgression and determined by the Principal/Owner. Such exclusion ma y be forever or for a limited period as decided by the Principal/owner.
- (b)Forfeiture of EMD/Performance Guarantee/Security Deposit. If the P rincipal/Owner has disqualified the Bidder(s) from the Tender process prio r to the award of the Contract or terminated/determined the Contract or h as accrued the right to terminate/determine the Contract according to Par a 3(a), the Principal /owner apart from exercising any legal rights that ma y have accrued to the Principal/Owner, may in its considered opinion forfe it the entire amount of Earnest Money Deposit/Performance Guarantee /S ecurity Deposit of the Bidder/Contractor.
- (c)Criminal Liability: if the Principal/Owner obtains knowledge of cond uct of a Bidder or Contractor, or of an employee or a representative or an associate of a Bidder or Contractor which constitutes corruption withi n the meaning of IPC Act, or if the Principal/Owner has substantive suspici on in this regard, the Principal/owner will inform the same to law enforcin g agencies for further investigation.
- 4.Previous Transgression
- (a)The Bidder declares that no previous transgressions occurred in the la st 5 years with any other Company in any country confirming to the an ticorruption approach or with Central Government or State Government or any other Central/State Public Sector Enterprises in India that could justify his exclusion from the Tender process.
- (b)If the Bidder makes incorrect statement on this subject, he can be Signature of Contractor/ Director(Res) Authorised Power of Attorney For Accepting Offic er Tender No/BID NO. GEM/2026/B/8125246 Serial Page No. 5 GEMC-5116877………………………………… disqualified from the Tender process or action can be taken for banning of business dealings/holiday listing of the Bidder/Contractor as deemed fi t by the Principal/Owner.
- (c)If the Bidder/Contractor can prove that he has resorted/recouped the d amage caused by him and has installed a suitable corruption prevention s ystem, (he Principal/Owner may, at its own desecration, revoke th e exclusion prematurely.
- 5.Equal Treatment of all Bidders/Contracts/Subcontractors
- (a)The Bidder(s)/Contractor(s) undertake(s) to demand from all subcontr actors a commitment in conformity with this integrity Pact. The Bidder/Co ntractor shall be responsible for any violation(s) of the principles laid dow n in this agreement/Pact by any of its Subcontractors/sub-vendors.
- (b)The Principal/owner will enter into pacts on identical terms as this one with all Bidders and Contractors.
- (c)The Principal/owner will disqualify Bidders, who do not submit, the any signed Pact between the Principal/owner and the bidder, along with the Te nder or violate its provisions at any stage of the Tender process, from the Tender process.
- 6.Duration of the Pact This Pact The pact begins when both the parties have legally signed it, it expi res for the Contractor/Vendor after the final payment under the contract has been made or till the continuation of defect liability period; whichever is more and for all other bidders, till the Contract has been awarded. If any clai m is made/lodged during the time, the same shall be binding and continue t o be valid despite the lapse of this Pacts as specified above, unless it is discharged/determined by the Competent Authority, BRO.
- 7.Other Provisions
- (a)This Pact is subject to Indian Law, place of performance and jurisdictio n is the Headquarters of the formation of the Principal/Owner, who has floated the Tender.
- (b)Changes and supplements need to be made in writing. Side agreemen ts have not been made.
- (c)If the Contractor is a partnership that any dispute or difference arising between the parties with regard to the terms of this Integrity Agreement /Pact, any action taken by the Owner/Principal in accordance with this Inte grity Agreement/Pact or interpretation thereof shall not be subject to arbit ration. - 8.Legal and Prior Rights All rights and remedies of the parties hereto shall be in addition to all the other legal rights and remedies belonging to such parties under the Contr act and/or law and the same shall be deemed to be cumulative and not altern ative to such legal rights and remedies aforesaid. For the sake of brevity, bot h the Parties agree that this Integrity Pact will have precedence over the Ten der/Contact documents with regard any of the provisions covered under this Integrity Pact.

- (b)The task of the Monitor is to review independently and objectively, any complaint received with regard to violation of Integrity Pact and offer com ments or carry out enquiry as deemed fit.
- (c)That the Monitor is not subject to any instructions by the representativ es of the parties and would perform his functions neutrally and independe ntly.
- (d)That the, Bidder/Contractor accepts that if the Monitor needs to acces s any records then the Monitor shall have the right to access without restriction to all project documentation of the Principal/owner including t hat provided by the Bidder/Contractor. The Bidder/Contractor will also gr ant the Monitor, upon his request and demonstration of valid interest, unr estricted and unconditional access to his project documentation including minutes of meeting. The same is applicable to Sub-Contractors and Associ ates. The Monitor is under obligation to treat the information and d ocuments of the Principal/owner and Bidder/Contractor/Sub Contractors/ A ssociates with confidentially. - (e)That if the Monitor has reported to the Principal/Owner a substantiated suspicion of an offence under relevant Anti Corruption Laws of India and t he Principal/owner has not, within reasonable time, taken visible action to proceed against such offence or reported it to the Vigilance Department, t he Monitor may also transmit this information directly to the Central Vigila nce Commissioner, Government of India.

- 17.Turnover Bidder Turn Over Criteria: The minimum average annual financial turnover of the bidder during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the bidder is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria.
- 18.Turnover OEM Turn Over Criteria: The minimum average annual financial turnover of the OEM of the offered product during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the OEM is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria. In case of bunch bids, the OEM of CATEGORY RELATED TO primary product having highest bid value should meet this criterion.
