• 1.The Seller shall not assign the Contract in whole or part without obtaining the prior written consent of buyer.
• 2.The Seller shall not sub-contract the Contract in whole or part to any entity without obtaining the prior written consent of buyer.
• 3.The Seller shall, notwithstanding the consent and assignment/sub-contract, remain jointly and severally liable and responsible to buyer together with the assignee/ sub-contractor, for and in respect of the due performance of the Contract and the Sellers obligations there under.

Buyer Added text based ATC clauses SCOPE OF JOB ===========

• 1.Under the AMC, Vendor has to provide preventive maintenance as well as breakdown mainten ance to keep the DSC in good working condition
• 2.Preventive maintenance: Vendor has to provide two PM visits per year on dates mutually conv enient to each other.
• 3.Preventive maintenance has to be done according to the instrument checklist, and the report h as to be submitted along with the service report.
• 4.Breakdown maintenance: Vendor has to provide one breakdown visit per year as a compliment ary and no payment shall be made by HPCL towards BD visit. The vendor has to attend breakd own emergency within 72 hours after receiving the breakdown information. The vendor has to r ectify the problem and put the equipment back in working condition.
• 5.Spare parts/consumables will be supplied by HPCL. Vendor to provide a list of critical spares to be maintained by HPCL so that there will be minimal downtime and the instrument's life and pr oductivity can be enhanced. PRICE REDUCTION CLAUSE / LIQUIDATED DAMAGES =========================================== Not Applicable PAYMENT TERMS ============== · Payment will be made on a visit basis, subject to the completion of all the planned activities f or that particular period. · The vendor needs to raise an invoice after every visit during the AMC period · The amount payable for the above services will be on a physical visit basis to R&D, and after completion of the visit and submission of the invoice along with the service report. CPBG / RETENTION ================ Applicable as per HPCL’s General Terms and Conditions of Works Contract. (Attached in ‘Buyer ad ded Bid Specific ATC) · Quantum: 5% of total value of AMC Line items shall be applicable. SECURITY DEPOSIT =============== Applicable as per HPCL’s General Terms and Conditions of Works Contract. · Quantum: 2% of total value of AMC Line items shall be applicable. DECLARATION FORMS ================== Bidder must submit following two declaration forms as per format attached in the ATC
• a.Declaration on not Banned or Blacklisted
• b.Declaration on Acceptance to HPCL Tender Terms & Conditions OTHER TERMS & CONDITIONS AND IMPORTANT INFORMAITON. ========================================= Unless otherwise specified, in case of conflict, HPCL’s General Terms and Condition (HPCL GTC) sh all take precedence over GEM’s General Terms and Conditions (GeM GTC) For all other Terms & Conditions, Scope, Technical Specifications, Bidders’ Pre-Qualific ation Criteria etc. refer, ‘Buyer Added Bid Specific ATC’ .
