Bidder shall submit the following documents along with their bid for Vendor Code Creation:

  • 6.Buyback for Non PFMS / Non GPA Buyback for Non PFMS/Non GPA:
  • 1.GST will apply on the value of buyback and separate invoice is to be prepared by Government buyer/Consignee for buyback items offline outside the GeM system. Vendor should work out input credit for that GST applicable on the buy back while quoting the product/services.
  • 2.Input GST Credit consideration by seller- seller shall offer the prices in the bid by the total amount of new goods including GST- total amount of old goods quoted by the firm excluding GST. This is because GST charged by buyer on buy-back value will be available for full ITC (input tax credit) on the hands of bidder. Therefore, for the purpose of quoting in the bid and evaluation, value as quoted by the bidder (excluding any GST on buy back) as indicated in column G below will be considered.   • 3.Successful lowest bidder has to provide detailed cost break up of tendered items as well as buy back items separately after award of contract through email to the government buyer/consignee.
  • 4.The seller of new item /service provider shall deposit the cost of invoiced buy back item with GST to the buyer for allowing seller to lift up the material from the buyer/consignee premise.
  • 5.Transportation of buy back items from buyer premises shall be arranged by the seller itself without any extra cost.
  • 6.Government Buyer organisation /consignee will issue invoice of buy back items to the seller at the cost of buyback to be indicated to the buyer by the seller offline after receipt of order. This in no case will modify the bid in any manner.
  • 7.The seller will be entirely responsible for the safe disposal of old items without affecting the environment in any manner as per prevailing statutory rules and Act/ law of the land.
  • 8.The seller may visit the site and inspect the condition of buy back item in advance before quoting for the bid.
  • 9.Receipt of payment by the buyer for Old items and invoicing by buyer will be out of GeM portal.
  • 10.Government Buyer will upload the details of old goods along with the bid in the corrigendum with minimum price.
  • 11.If the minimum price (Optional) is indicated and sellers of new item who are not agreeing to take back the old item at equal to or above that minimum price should not participate in the bid.
  • 12.In case they participate into the bid and afterwards indicates the price of old goods, less than the minimum price shown by Government Buyer in corrigendum, EMD of the bidder will be forfeited.

  • 14.The successful bidder shall remove the old goods from the premise of the Government buyer/consignee at the time of the supply, installation and commis-sioning of fresh goods. Seller will be entitled for payment only after removal of old goods from Government buyer/consignee/user’s premise and after supplying the fresh goods in terms of contract.

  • 8.Technical Pre-Qualification Criteria:
  • a)The bidder must be an OEM of a Power/Distribution Transformer. The bidd er shall submit a copy of at least one related document for confirmation of being the OEM of a power/distribution transformer.
  • b)The bidder should have supplied at least one power/distribution transform er of 11KV/400V, 800 KVA ONAN or higher rating during the last seven year s ending last day of month previous to the one in which applications are in vited. The bidder shall submit at least one copy of purchase orders as proo f of having supplied such 800 KVA Transformer.
  • c)As a documentary evidence, bidder shall submit copy of executed Purcha se Order along with documentary proof of successful supply and commissi oning of 800 KVA Transformer. Submitted Purchase Order (PO) / Work Orde r / Contract shall be issued and executed within the last Seven (7) years en ding last day of month previous to the one in which applications are invited . The following documents shall be accepted as proof of successful comple tion:
  • a.Completion certificate / Customer Acceptance Certificate / Payment ad vise OR
  • b.GeM CRAC (Consignee Receipt and Acceptance Certificate) document OR
  • c.Tax Invoice with Proof of receipt of payment like bank statement for th e submitted tax invoice OR
  • d.MOM with end user
  • d)Copy of Type test certificates of the offered make from CPRI or ERDA testi ng authority for the transformer rating of 800 KVA, 11/0.415 kV, ONAN or a bove rating with a minimum BIS level-2 transformer (latest) shall be furnis hed with the bid to prove the capability of the transformer being manufact ured and tested by the bidder for the following tests:
  • I)Temperature Rise Test and II) Short Circuit Withstand Test
  • 9.Commercial Pre-qualification Criteria:
  • A)Turnover / audited annual reports: Last three years financial audited reports or Turnover certificate from Chart ered Accountant (CA) as below: Average Annual Financial Turnover during the last three years ending 31st March 2025 i.e. FY 2022-23, FY 2023-24 and FY 2024-25: ₹ 26.13 lakh. Bidder shall submit audited annual reports certified by Chartered Accounta nt (CA) or Turnover certificates for above financial years. Turnover certificat es should be issued by practising CA with membership number, seal and sig ned. Certificate / document issued by Chartered Accountant will be valid an d accepted only with UDIN number. In case the date of constitution / incorporation of the bidder is less than 3 y ears old, the average turnover in respect of the completed financial years af ter the date of constitution shall be taken into account. In this case, the fina ncial turnover during last financial year / the average financial turnover duri ng preceding two financial years should be at least ₹ 26.13 lakh Relaxation in Turnover criteria for eligible MSEs/ STARTUPs- Relaxation of 25% in Annual financial turnover to be provided to the qualifyi ng MSEs/ STARTUPS. Bidder shall submit audited annual reports certified by Chartered Accounta nt (CA) or Turnover certificates for above financial years. Turnover certificat es should be issued by practising CA with membership number, seal and sig ned. Certificate / document issued by Chartered Accountant will be valid an d accepted only with UDIN number.   • B)Net worth: Net worth of the Bidder firm should not be negative on ‘31st March 2025’. [i .e. The net worth of the Bidder should not be negative in the balance sheet of last financial year (FY 2024-25)]. AND Net Worth of bidder should not have eroded by more than 30% (thirty perce nt) in the last three years, ending on ‘31st March 2025’. [i.e. The net worth of last financial year (FY 2024-25) should not be less than 70% compared to the 3rd last financial year (FY 2022-23)]. The bidder to submit the documentary proof e.g. audited balance sheet, P& L account etc. for the same with Net worth Certificate duly certified by prac ticing CA with membership number, seal, signed and UDIN number. In case the date of constitution/ incorporation of the bidder is less than 3 ye ars old, the following will be applicable: · The Net Worth in each of these years should not be negative. · Net Worth in respect of the immediate previous financial year should not have eroded more 30 percent than that of its previously audited f inancial statement. · In case the Bidder has completed financial statements of only prece ding year, the clause of net worth erosion will not be applicable.
  • 10.Please submit signed and stamped copy of 'Integrity Pact' attached in the ATC Bu yer organization specific Integrity pact. (Note: RCF has accepted and agreed to the terms and conditions of the Integri ty Pact. The Bidder, as a token of acceptance of the terms and conditions of th e Integrity Pact will sign and stamp the Integrity Pact and submit the same wit h bid documents. Signing the Integrity Pact is a pre-requisite for pre-qualificati on and Integrity Pact and NIT conditions will form part of the contract).
  • 11.EARNEST MONEY DEPOSIT (EMD) of ₹ 75,000/- (Rs. Seventy Five Thousand only) shall be deposited as per following instructions. EMD shall be deposited online through EMD gateway portal with ICICI bank. For payin g EMD, please log on to http://www.rcfltd.com and then go to 'portal' and 'EMD paym ents'. Kindly use the GEM enquiry number on the portal for EMD payment. Please sub mit EMD payment receipt along with the offer. EMD payment by any other mode may not be considered.   • B)A bidder’s EMD shall be forfeited if the bidder withdraws or amends its bid or impairs or derogates from the tender in any respect within the period of validity of the tender or if the successful bidder fails to furnish the required performance security or to sign the contract within the specified period
  • C)All MSE bidders with Valid MSE document/Udyam Certificate except Trader s, shall be exempted from submission of EMD irrespective of manufacturer of the offered product
  • 12.Defect Liability Clause (Warranty/Guarantee): The transformer shall be guaranteed against manufacturing defects for a period of 1 2 months from the date of commissioning or 18 months from the date of dispatch, w hichever is earlier. Guarantee certificate shall be submitted along with the supply. The guarantee shall cover following but not limited to the same; · Correct and faultless calculation, design and manufacture. · High reliability under normal and continuous operation · High quality of material and services · All load data and rating under continuous operation · All data concerning short circuit capacity. · All insulation and their correct coordination. · Compliance with specified norms and standards. · Within the specified period of guarantee, the supplier shall replace any fau lty material, equip. service without any additional cost or delay.
  • 13.Security Deposit Clause: Successful bidder will have to submit the Security Depo sit (SD) for 5% of total contract value within 14 days from receipt of P.O in the form o f bank guarantee as per RCF format from RCF’s approved list of Bankers covering the delivery period plus 2 months. Performance Guarantee Clause: Successful bidder will have to submit Performance Bank Guarantee for same value as that of Security deposit within 15 days from the date of supply of material in the form of bank guarantee as p er RCF format from RCF approved banker covering the period of 20 months fro m the date of supply or 14 months from the date of installation, whichever is e arlier. SD submitted in the form of Bank guarantee can be converted in to PBG. SPECIAL NOTE:
  • A)If the SD is not deposited within the stipulated 14-day period, the SD will b e recovered along with Interest from the due date of Deposit from the first payment. The interest rate shall be the applicable Secured Overnight Finan cing Rate (SOFR) + 2% or MCLR (6 months) + 2%; as applicable.

  • 14.Delivery period: Delivery period shall be 154 Days from the date of placement of the Purchase Order (PO). Delivery bifurcation is as detailed below; · Submission of drawings for approval after PO—3 weeks · Correction/Comments on drawings by RCF – 1 week · Submission of corrected drawing for approval—1 week · Drawing approval by RCF – 1 week · Delivery of the transformer after final drawing approval—16 weeks Installation testing & commissioning; 15 days shall be allowed for ICT of the newly supplied 800 KVA transformer, after site readiness communication to vendor.
  • 15.Delivery Instructions: Kindly deliver the material to RCF Stores Dept. through ma terial Gate No-2, Trombay Unit, RCF Limited, Mahul Road, Mumbai- 400 074.
  • 16.Bidder shall confirm HSN Code and GST Rate for quoted item. Note: Bidder shall ensure that the quoted price is inclusive of GST.
  • 17.Unloading of material at consignee location shall be in supplier’s scope – Mandatory
  • 18.Bidder shall note following while quoting against the subject tender;
  • i.Bidder has to buyback the existing Emco Limited make 750 KVA 11000/ 415 V, ONAN, Dy11, transformer along with filled oil (approx. 630 ltrs). – 01 Nos YOM: 1989, as detailed at clause no. 19 of technical annexure. ii. In Supply Portion, Bidder shall quote all-inclusive Lump Sum price for supply of Design, manufacture, assembly, and testing at works & delivery i n well-packed condition to RCF stores of a core-type, ONAN-cooled, 3-phase , Dyn11, outdoor-type, oil-immersed, Star 2-rated distribution transformer a long with all the accessories and spares, as per scope of work. Bidder shall also quote buyback of Existing 750 kVA, 11/0.415 kV Distribution Transform er as detailed at clause no. 19 of technical annexure, strictly as per GeM. Bi dder shall provide Price breakup of newly supplied 800 KVA transformer alo ng with accessories and buyback of Existing 750 kVA Distribution Transform er after price bid opening. iii. In service portion, bidder shall quote all inclusive lumsum price again st Dismantling of the old 750 KVA transformer, Installation and commissioni ng of the newly supplied 800 KVA transformer, as per GEM. Bidder shall pro vide Price breakup of above mentioned components after price bid opening . iv. Bidder shall quote charges against statutory approval for energization s eparately as per GeM.
  • 19.Payment Terms: For Supply part: 80% of the payments will be released after receipt of complete m aterial supply along with all the accessories as per GEM. It may be noted that no pay ment will be released on receiving materials partly. For Service Part: The remaining 20 % payment of the supply part and 100% paym ent of the ICT of the newly supplied 800 KVA transformer will be released as per GEM once installation is complete and performance is satisfactory certified by user dept. NOTE:
  • a.If site readiness from RCF end will not be given within six months from the date of complete supply of material then 20% balance payment of supply p art shall be released subject to receipt & confirmation of Bank Guarantee of the 110% of amount payable valid for complete guarantee period plus 2 m onths claim period.
  • b.15 days shall be allowed for installation after site readiness communicatio n to vendor.
  • c.Payment against statutory approval for energization separately shall be re leased after confirmation from user dept.
  • d.Payment against Dismantling of the old 750 KVA transformer & ICT of the newly supplied 800 KVA transformer shall be made separately after confirm ation from user dept.
  • 20.TReDS payment platform for MSME’s: “In respect of procurement of goods or services from the Micro, Small and Me dium Enterprises, Gazette ref CG-DL-E-02072026-273996, dated 30th June 20 26, mandates all operating CPSEs to route the settlement of invoices through any TReDS platform authorized by the Reserve Bank of India. However, the ro uting of invoices by CPSEs through the TReDS platform shall not be construed as mandating discounting of such invoices, and the Micro, Small and Medium enterprise supplier shall have the option to avail or not avail the financing or d iscounting of its receivables on the platform. In case the Micro, Small and Medium enterprise supplier (under the MSMED Ac t, 2006 and holding a valid Udyam Registration Certificate) opts for discountin g of the Invoice through any one of the RBI registered platforms then the pay ment will be released on such platform as decided by the Supplier. In case the Micro, Small and Medium enterprise supplier does not opt for disco unting of the Invoice through any one of the RBI registered platforms then the payment will be settled through any one of the TReDS Platform registered wit h RBI as decided by RCF. The responsibility for payment of all charges/fees payable to the TReDS platfo rm, financier, or factor w.r.t discounting of bills shall be governed as per the a rrangement between the vendor and the concerned platform / financing instit ution.”
  • 21.For Start-up bidders: No additional 10% quantity is possible to award against the subject procurement. He nce relaxation as mentioned below shall be given to eligible start-ups; Start-up bidders must submit the following documents:
  • a)Start-Up registration certificate issued by the Department of Industrial Policy and Promotion (DIPP). Year of incorporation of Start-Up shall not be more than ten years from the due date of the tender.
  • b)Certificate from a Chartered Accountant (CA) with Unique Document Identifi cation Number (UDIN), verifying that the Start-Up has not exceeded the financi al turnover limit of Rs 100 crores (or as revised by the Government of India) in any of the preceding financial years since incorporation. Start-up bidders has to submit all the requisite documents required for techno-comm ercial pre-qualification as specified in the bid/NIT document. Following relaxations will be given to Start-up bidders: 1) 25% relaxation in average turnover criteria No relaxation or exemptions will be provided in respect of other pre-qualificati on criteria, including technical requirements. Exemption from Earnest Money Deposit (EMD): Start-up bidders are not required to s ubmit EMD.
  • 22.Disputes and Arbitration Clause
  • A)Clause of arbitration in case of Domestic vendor In case of any dispute, difference, or question which may at any time arise between t he parties hereto or any person claiming under them, touching or arising out of or in respect of this agreement or the subject matter thereof shall be referred to the arbitr ation. Both the parties shall appoint the sole arbitrator with mutual agreement in line with the Arbitration and Conciliation Act, 1996. The provisions of the Arbitration and Conciliation Act, 1996 and as amended from time to time shall apply to the proceedi ngs conducted under the arbitration. In case the party (parties) fail to appoint the sol e arbitrator within 30 days from the date of request, the requesting party may approach the Court of Competent jurisdiction to appoint an Arbitrator. The decision of such arbitrator shall be final and binding on the parties. The venue of Arbitration shall be a t Mumbai. The language of the Arbitration shall be English.
  • B)Clause of arbitration in case of foreign vendor Any dispute arising out of or in connection with this contract, including any question r egarding its existence, validity or termination, shall be referred to and finally resolve d by arbitration administered by the Singapore International Arbitration Centre (“SIA C”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incor porated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of Sole arbitr ator. The language of the arbitration shall be English.
  • C)Clause of arbitration in case of PSU/Govt vendor "In the event of any dispute or difference relating to the interpretation and applicatio n of the provisions of commercial contract(s) between Central Public Sector Enterpris es (CPSEs)/ Port Trusts inter se and also between CPSEs and Government Departmen ts/Organizations (excluding disputes concerning Railways, Income Tax, Customs & Ex cise Departments), such dispute or difference shall be taken up by either Party for resolution through AMRCD as mentioned in DPE OM No. 4(1)/2013-DPE (GM) /FTS-1835 dated 22-05-2018".

  • 26.For New Vendor Registration: In order to register the bidder as vendor in RCF ERP System and release of PO & Pay ment, bidder needs to submit the duly filled, signed and stamped copy of Vendor For m along with GST No, Bank Details, MSE Udyam Certificate. In case of non-submission of above said documents, RCF shall register the bidder as vendor based on the details available on GeM Portal. Bidder is solely responsible for the accuracy and completeness of information submit ted and available on GeM Portal.
  • 27.Liquidated Damages (LD) shall be applicable as per GeM ATC. Note: Both Seller and Purchaser agree that the above percentages of LD are genuine pre-estimates of the loss/damage which the Purchaser would have suffered on accou nt of delay/breach on the part of the Seller and the said amount will be payable on de mand without there being any proof of the actual loss or damage caused by such bre ach/delay.
  • 28.Goods Receipt and Inspection Report: In case the supplier does not lift the rejected goods within the stipulated time, a grou nd rent (at 0.2% per day of the value of goods as per contract). If the supplier does n ot respond within a reasonable time (three months), the procuring entity may treat t he material as scrap and dispose it off as deemed fit, under intimation to the supplier , to recover its dues
  • 29.Grievances during Tendering Process: Any supplier, contractor, or consultant who claims to have suffered or is likely to suff er loss or injury due to a decision, action, or omission by RCF, may submit a review a pplication to the following e-Mail ID: GC-TROM-PUR@rcfltd.com The review application against subject tender can only be submitted by bidder who h ave applied against tender.
  • 30.VIMS (Vendor Invoice Management System): A Vendor Invoice Management (VIM) system is secure online platform, designed to st reamline the process of managing invoices from vendors. It ensures efficient invoice capture, approval, and payment processing within an organization. The system integr ates with enterprise resource planning (ERP) platforms like SAP to centralize financial data and Government e Market place (GeM Portal). Invoices from vendors are upload ed with respect to purchase orders and goods receipts and services ordered and con sumed. It also provides transparency, allowing for better tracking, auditing, and repo rting. Successful bidder is advised to upload complete set of Payment related docum ents as mentioned in GeM Bid at VIMS portal of RCF (https://vims.rcfltd.com/).
