OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

• 2.Turnover Bidder Turn Over Criteria: The minimum average annual financial turnover of the bidder during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the bidder is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria.
• 3.Turnover OEM Turn Over Criteria: The minimum average annual financial turnover of the OEM of the offered product during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the OEM is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria. In case of bunch bids, the OEM of CATEGORY RELATED TO primary product having highest bid value should meet this criterion.

Availability of Service Centres: Bidder/OEM must have a Functional Service Centre in the State of each Consignee's Location in case of carry-in warranty. (Not applicable in case of goods having on-site warranty). If service center is not already there at the time of bidding, successful bidder / OEM shall have to establish one within 30 days of award of contract. Payment shall be released only after submission of documentary evidence of having Functional Service Centre.

Escalation Matrix For Service Support : Bidder/OEM must provide Escalation Matrix of Telephone Numbers for Service Support.

NET WORTH: Net Worth of the OEM should be positive as per the last audited financial statement.

Without prejudice to Buyer’s right to price adjustment by way of discount or any other right or remedy available to Buyer, Buyer may terminate the Contract or any part thereof by a written notice to the Seller, if:

• i)The Seller fails to comply with any material term of the Contract. ii) The Seller informs Buyer of its inability to deliver the Material(s) or any part thereof within the stipulated Delivery Period or such inability otherwise becomes apparent. iii) The Seller fails to deliver the Material(s) or any part thereof within the stipulated Delivery Period and/or to replace/rectify any rejected or defective Material(s) promptly. iv) The Seller becomes bankrupt or goes into liquidation.
• v)The Seller makes a general assignment for the benefit of creditors. vi) A receiver is appointed for any substantial property owned by the Seller. vii) The Seller has misrepresented to Buyer, acting on which misrepresentation Buyer has placed the Purchase Order on the Seller.

• 1.Bid Specific Manufacturer Authorization Form MAF The bidder shall submit a Bid Specific Manufacturer Authorization Form issued by the OEM on its letterhea d, clearly mentioning the GeM Bid Number, bidder name and quoted product. Generic or non bid specific a uthorization shall not be accepted. The bidder shall upload MAFs for selected categories.
• 2.Financial Documents of Bidder The bidder shall upload the following documents for the last three completed financial years:
• a.Audited Balance Sheets
• b.Audited Profit and Loss Accounts
• c.Income Tax Returns
• d.GSTR 3B returns wherever applicable
• e.Turnover Certificate with valid UDIN
• 3.OEM Annual Turnover The bidder shall submit the OEM Annual Turnover Certificate for the last three completed financial years, is sued or certified by a Chartered Accountant with valid UDIN, along with supporting financial documents wh erever required under the bid.
• 4.Notarized Affidavit The bidder shall submit a duly notarized affidavit on the applicable non judicial stamp paper, clearly menti oning the bid number and confirming:
• a.Acceptance of all bid terms and ATC
• b.Correctness and authenticity of all uploaded documents
• c.Confirmation that the bidder is not bankrupt or insolvent
• d.Confirmation that no liquidation, winding up or receivership proceedings are pending

• a.ISO 9001
• b.ISO 45001
• 6.ISO Supporting Documents The bidder or OEM, as applicable, shall submit valid ISO 9001 and ISO 45001 certificates along with the lat est surveillance, assessment or certification audit reports. The certificates shall cover the relevant activitie s and be issued by certification bodies accredited by an IAF member accreditation body.

The bidder shall submit valid licences, registration certificates or certification documents wherever applica ble to the quoted product category. The documents shall cover the quoted make and model.

• 8.Past Performance The bidder shall submit documentary evidence of past performance meeting the requirements specified in the bid. Supporting documents shall include relevant purchase orders or contracts along with completion c ertificates, satisfactory performance certificates or consignee acceptance records establishing successful s upply, installation or commissioning, as applicable.
• 9.Experience The bidder or OEM, as specified in the bid, shall submit documentary evidence of experience in supplying s imilar products or executing similar works for the period prescribed in the bid. Supporting orders or contrac ts and completion or acceptance records shall clearly establish the nature of supply or work, quantity or va lue, customer details and execution period. Any applicable exemption shall be governed by the bid conditi ons and GeM provisions.
• 10.Validity and Relevance of Documents All certificates, test reports, declarations, affidavits, audited financial documents, authorizations, past perf ormance records, experience documents, audit reports and supporting records shall be valid, complete, le gible and relevant to the bidder, OEM, quoted product and bid, as applicable.
• 11.Consequences of Non Compliant Documents Submission of false, altered, expired, misleading, unrelated or unverifiable documents may result in rejecti on of the bid and further action under applicable rules.
• 12.Failure to Submit Mandatory Documents Failure to upload or submit any mandatory document, certificate, test report, financial document, Bid Spec ific MAF, EMD,OEM turnover document, past performance record, experience document, ISO supporting do cument or applicable BIS document required under the bid, ATC or corrigendum may result in rejection of t he bid. .
