OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Buyer Added text based ATC clauses ADDITIONAL TERMS & CONDITIONS (ATC) PROCUREMENT OF MAINTENANCE ITEMS

• 1.Scope of Procurement The procurement covers various maintenance-related items as specified in the GeM Bid Schedule/BOQ. Th e bidder shall supply the required quantity and specification strictly in accordance with the specifications, description, drawings, schedules and other requirements uploaded by the Buyer on GeM.
• 2.Acceptance of Specification and Drawing The bidder shall carefully examine all specifications, drawings, technical requirements and other documen ts uploaded with the bid. The bidder shall submit an Acceptance of Item Specification and Drawing, duly signed and sealed, confirming that the bidder has examined and accepted the specifications/drawings and undertakes to supp ly the material strictly in accordance with the same. The signed acceptance shall be submitted along with the bid documents.
• 3.Sample Submission The successful bidder/bidder, as applicable, shall submit one sample of each applicable item to the Bu yer for inspection/approval as and when required by the Buyer. The sample shall be representative of the material proposed to be supplied and shall conform to the specif ications, dimensions, material, workmanship, quality and other requirements stipulated in the bid. No material shall be supplied in deviation from the approved specification/sample.
• 4.Sample Approval The sample submitted by the bidder shall be subject to inspection by the Buyer/authorized representative. Approval of the sample shall not relieve the bidder of responsibility for ensuring that the complete quantity supplied conforms to the specifications and required quality. In case the supplied material differs materially from the approved sample/specification, the Buyer shall ha ve the right to reject such material.
• 5.Technical Compliance The bidder shall submit a point-wise Technical Compliance Statement against all applicable specificat ions mentioned in the GeM Bid/BOQ. A general statement such as “Complied” without indicating actual compliance/details may not be consider ed sufficient wherever specific technical parameters are required.
• 6.Make, Brand and Model The bidder shall clearly indicate the offered make/brand/model wherever applicable. The material supplied shall be of the same make/brand/model and specification as declared in the bid. Any change in make, brand, model or specification shall require prior written approval of the Buyer.
• 7.Quality of Material All materials supplied shall be: New and unused. Free from manufacturing defects. Free from damage, cracks, deformation, rust, stains or other defects. Of good commercial quality and workmanship. Suitable for the intended maintenance/utility application. In conformity with the specifications stipulated in the bid.
• 8.Applicable Standards Where any applicable BIS/ISI, statutory, safety, quality or other relevant standard exists for the offered ma terial, the bidder shall ensure compliance with the applicable standard. Where certification/marking is applicable, the same shall be provided wherever required.
• 9.Product Literature / Technical Documents Where applicable, the bidder shall provide relevant manufacturer's catalogue, technical literature, datashe et, specification sheet, certificate or other supporting document establishing conformity of the offered mat erial.
• 10.OEM / Manufacturer Authorization Where the bid specification requires manufacturer/OEM authorization, the bidder shall submit a valid Man ufacturer Authorization Certificate (MAF)/OEM Authorization in the prescribed form. The authorization shall clearly identify the bidder and the material being offered wherever applicable.
• 11.Documents to be Submitted The bidder shall submit all documents required to establish eligibility and technical compliance, including, wherever applicable:
• 1.Signed and sealed technical compliance statement.
• 2.Acceptance of specification/drawing.
• 3.Manufacturer/OEM authorization.
• 4.Product catalogue/datasheet.
• 5.Applicable quality/BIS certificates.
• 6.Warranty/guarantee declaration.
• 7.Manufacturer details.
• 8.GST registration details.
• 9.PAN details.
• 10.Any other document specifically required in the GeM Bid.
• 12.Hard Copy Submission of Documents Where specifically required by the Buyer, the bidder shall ensure that important supporting documents/cer tificates are submitted to the Buyer in hard copy duly signed and sealed within the stipulated period. Mere uploading of an incomplete document or submission without signature/seal, wherever required, may not be treated as valid compliance.
• 13.Verification of Documents The Buyer reserves the right to verify the authenticity of any certificate, authorization, catalogue, declarati on, registration or other document submitted by the bidder. If any document is found to be false, fabricated, misleading or unverifiable, the bid/contract may be dealt with as per applicable GeM rules and Government procurement provisions.
• 14.Quantity The bidder shall supply the exact quantities specified in the GeM Bid/BOQ. Any variation in quantity shall be governed strictly by the provisions of the GeM contract and applicable pr ocurement rules.

The material shall be delivered at the location specified by the Buyer within the delivery period stipulated i n the GeM contract. The bidder shall be responsible for safe transportation, handling and delivery of the material.

• 16.Packing and Protection All items shall be suitably packed to prevent damage, deformation, contamination, moisture-related deteri oration or any other damage during transportation and storage. The packing shall be appropriate for the nature of the material.

The Buyer/authorized representative shall have the right to inspect the material at the time of delivery. Inspection may include verification of: Quantity. Specification. Dimensions, wherever applicable. Material and workmanship. Make/brand/model. Physical condition. Approved sample, wherever applicable. Supporting documents/certificates.

• 18.Rejection of Material The Buyer shall have the right to reject material which: Does not conform to the prescribed specification. Is damaged or defective. Is inferior in quality. Differs from the approved sample. Differs from the declared make/brand/model. Is supplied in short quantity. Is not new/unused. Is supplied without required accessories/documents. Otherwise fails to meet the contractual requirements. Rejected material shall be replaced by the supplier at no additional cost to the Buyer.
• 19.Replacement of Defective Material Any defective, damaged, short-supplied or non-conforming material identified during inspection or subseq uently during the applicable warranty/guarantee period shall be replaced by the supplier at no additional c ost to the Buyer, wherever applicable.
• 20.Warranty / Guarantee Where warranty/guarantee is applicable to the item, the bidder shall provide the manufacturer's/supplier's standard warranty for the period specified in the GeM Bid/contract. The bidder shall remain responsible for rectification/replacement of defects covered under warranty.
• 21.No Substitution The bidder shall not substitute the offered material with another make, brand, model, specification or equi valent material without prior written approval of the Buyer. Any unauthorized substitution may be treated as non-compliance.
• 22.Price Inclusiveness The quoted price shall be inclusive of all applicable costs necessary for complete supply, including packing , forwarding, transportation, loading/unloading, insurance, applicable taxes/duties and other incidental cha rges, unless specifically stated otherwise in the GeM Bid.
• 23.Compliance with Applicable Laws The bidder shall comply with all applicable laws, rules, regulations, statutory requirements and Governmen t procurement provisions applicable to the supply.
• 24.Bidder's Declaration The bidder shall confirm that: The information and documents submitted are true and correct. The material offered conforms to the bid requirements. The bidder has examined the specifications and drawings, wherever applicable. The bidder accepts all applicable terms and conditions of the GeM Bid. The bidder shall supply material strictly as per the accepted specifications.
• 25.Deviations Any deviation from the prescribed specification or terms and conditions shall be clearly declared by the bid der in the bid. Silence or non-disclosure shall not be construed as acceptance of deviation by the Buyer.
• 26.Buyer’s Right of Verification The Buyer reserves the right to verify the bidder's credentials, manufacturer details, authorization, certific ates, samples, technical documents and other submitted information from the concerned manufacturer/iss uing authority or through any other appropriate means.
• 27.Inspection of Sample and Supply Where samples are called for, the sample shall be treated as a reference for assessing quality and conform ity. The bulk supply shall conform to the approved sample as well as the specifications and contractual require ments.
• 28.No Compromise in Quality The bidder shall not compromise the quality of material on account of price, availability or any other reaso
• n.The lowest quoted price shall not entitle the bidder to supply material inferior to the prescribed specificatio ns.
• 29.Completeness of Supply The bidder shall ensure that the supply is complete in all respects and includes all standard components/a ccessories required for proper use of the supplied material, wherever applicable.
• 30.Final Acceptance Final acceptance of the material shall be subject to satisfactory verification of quantity, quality, specification, sample conformity, documentation and other contractual requirements by the Buyer/authori zed representative.
• 31.Non-Compliance Failure to comply with any mandatory technical or commercial requirement may render the bid liable for re jection, subject to the applicable GeM provisions. Material non-compliance shall not be accepted merely on the ground that the bidder has quoted the lowest price.
• 32.GeM Terms and Conditions All provisions of the GeM General Terms and Conditions (GTC), Product/Service Category requirements, Bid Conditions and applicable Government procurement rules shall remain applicable in addition to these ATCs. In case of any conflict, the applicable GeM provisions and competent Government procurement rules shall prevail.
• 33.Buyer’s Right The Buyer reserves the right to accept or reject any bid/material in accordance with the applicable GeM pr ovisions and Government procurement rules.
• 34.Final Compliance Submission of the bid shall be deemed to constitute confirmation by the bidder that the bidder has carefull y examined the Bid/BOQ, specifications, drawings, ATCs and other documents and agrees to comply with a ll applicable requirements. BIDDER'S ACCEPTANCE I/We hereby certify that I/We have carefully examined the GeM Bid No. GEM/2026/B/8066660, including the specifications, drawings, ATCs and other requirements, and hereby accept and undertake to comply wi th the same.
