OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

• 3.Turnover Bidder Turn Over Criteria: The minimum average annual financial turnover of the bidder during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the bidder is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria.
• 4.Turnover OEM Turn Over Criteria: The minimum average annual financial turnover of the OEM of the offered product during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the OEM is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria. In case of bunch bids, the OEM of CATEGORY RELATED TO primary product having highest bid value should meet this criterion.

IMPORTED PRODUCTS: In case of imported products, OEM or Authorized Seller of OEM should have a registered office in India to provide after sales service support in India. The certificate to this effect should be submitted.

Buyer Added text based ATC clauses

• 1.Valid Drug Licence: The bidder shall possess a valid drug licence, as applicable to the category of me dicines being supplied, issued by the competent licensing authority. A copy of the valid licence shall be su bmitted with the bid.
• 2.Genuine and Quality-Assured Medicines: All medicines supplied shall be genuine, from legally auth orized sources, and manufactured by duly licensed manufacturers. The medicines shall conform to the spe cifications mentioned in the bid and the applicable provisions of the Drugs and Cosmetics Act, 1940 and th e rules made thereunder.
• 3.Compliance with Specifications: The medicines supplied shall strictly conform to the specified gener ic name, composition, strength, dosage form, pack size and other technical requirements mentioned in the bid. Any substitution or deviation shall require prior written approval wherever permissible under the bid c onditions.
• 4.Batch Number and Expiry Date: Every medicine shall bear the prescribed labelling particulars, inclu ding batch number, manufacturing date, expiry date and other details required under applicable law. The Buyer shall have the right to verify these particulars at the time of delivery.
• 5.Minimum Residual Shelf Life: Medicines supplied shall ordinarily have at least 75% of their total shel f life remaining on the date of delivery, unless a different requirement is specified in the bid. Medicines wit h lower residual shelf life shall be accepted only with prior written approval of the competent authority, wh erever permissible.
• 6.Transportation and Delivery: The supplier shall arrange transportation, loading, unloading, handling and delivery of medicines to the designated delivery point. All related costs shall be included in the quoted price. Medicines shall be transported in a manner that protects them from damage, contamination, excessive heat, moisture and other adverse conditions.
• 7.Storage and Cold-Chain Maintenance: The supplier shall ensure appropriate storage and transporta tion conditions as specified by the manufacturer and applicable regulations. Medicines requiring refrigerati on or other temperature-controlled conditions shall be delivered with the prescribed temperature controls and supporting records, wherever applicable.
• 8.Packaging and Labelling: Medicines shall be delivered in their original, properly sealed and intact pa ckaging, with labels and package inserts as required under applicable law. Damaged, tampered, leaking, i mproperly labelled or otherwise non-compliant packages shall be liable for rejection.
• 9.Verification of Supplies: The Buyer or its authorized representative may verify the medicine name, s trength, quantity, batch number, expiry date, manufacturer details, packaging, applicable licences and su pporting quality documents at the time of delivery or subsequently, as permitted under the contract.
• 10.Documents to Accompany Supply: The supplier shall provide the delivery challan, invoice, batch-wi se details and other applicable documents. A certificate of analysis, quality certificate or other batch-relate d documentation shall be furnished wherever required by the bid or applicable regulations.
• 11.No Additional Charges: The quoted price shall include all costs relating to procurement, packaging, transportation, insurance where applicable, loading, unloading, delivery and applicable taxes and duties. N o additional payment shall be admissible for costs already included in the quoted price or required to fulfil the stated contractual obligations.
• 12.Rejection of Non-Compliant Medicines: The Buyer may reject medicines that are expired, damage d, counterfeit, suspected to be adulterated, improperly labelled, deficient in quantity or otherwise non-co mpliant with the bid specifications or applicable law. Rejection and further action shall be carried out in ac cordance with the contract and applicable legal procedures.
• 13.Replacement of Rejected Medicines: The supplier shall replace rejected, damaged or non-complia nt medicines within the period specified by the Buyer, without additional cost, where the deficiency is attri butable to the supplier and replacement is legally permissible. Such replacement shall not affect any other remedy available under the contract.
• 14.Drug Quality and Recalls: The supplier shall promptly inform the Buyer of any applicable drug recall , suspension, prohibition, quality defect or regulatory alert concerning medicines supplied under the contra ct. The supplier shall cooperate in the identification, segregation, return or other lawful handling of affecte d stock in accordance with the directions of the competent authority.
• 15.Delivery Schedule: The supplier shall deliver the medicines within the delivery period specified in th e bid or purchase order. Any delay shall be dealt with under the applicable GeM contract conditions and ot her relevant procurement provisions.
• 16.Inspection and Acceptance: Receipt of medicines shall not, by itself, constitute final acceptance of their quality. Acceptance shall be subject to verification of quantity, specifications, packaging, documentat ion and other applicable conditions. Any testing, sampling or quality-related action shall be undertaken in accordance with applicable rules and contractual provisions.
• 17.Payment: Payment shall be processed after delivery, verification and acceptance of the medicines an d submission of the required invoice and supporting documents, in accordance with the GeM contract and applicable payment rules.
• 18.False Documents and Misrepresentation: Submission of forged, false or misleading documents, or misrepresentation of licences, product details or quality certifications, may result in action under the appli cable GeM conditions, procurement rules and law, following the prescribed procedure.
• 19.Cancellation and Termination: Cancellation of the bid before award, or termination of the contract after award, shall be governed by applicable GeM provisions, the contract and relevant procurement rules . Any such action shall be based on permissible grounds and undertaken by the competent authority in ac cordance with the prescribed procedure.
• 20.Acceptance of ATC: Submission of a bid shall signify acceptance of these ATC provisions, subject to applicable GeM General Terms and Conditions, Special Terms and Conditions, bid-specific provisions and a pplicable law. In the event of inconsistency, the governing GeM provisions and applicable law shall prevail. .
