OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

• 1.Make, Model, Rate, Warranty and GST/HSN Code detail MUST BE clearly mentioned in the bid documents.
• 2.Cutting, overwriting on documents will not be accepted.
• 3.The payment shall be made against bill and satisfactory installation. No advance payment is possible.
• 4.The hospital reserve the right to reject any or all the tender/Quotations without assigning any reason or to allot f ull or part of supply to one or more firms.
• 5.The rate must be quoted in Indian rupees and F.O.R JNMC Hospital Aligarh
• 6.Arbitration: If any difference arises concerning this agreement, its interpretation on payment to the made th ere- under, the same shall be settled out by mutual consultation and negotiation. If attempts for conciliation do n’t yield any result within a period of 30 days, either of the parties may make a request to the other party for s ubmission of the dispute for decision to the sole arbitrator i.e. Vice-Chancellor, AMU, Aligarh, or his nominee. Th e decision of the sole arbitrator shall be binding on parties. The venue of arbitrator will be at Aligarh.
• 7.Subletting of Work: The firm shall not assign or sublet the work/ job or any part of it to any other person or p arty without having first obtained permission in writing of J.N. Medical College Hospital, AMU, Aligarh, which will be at liberty to refuse if thinks fit. The tender is not transferable. Only one tender shall be submitted by one tenderer.
• 8.Breach of Terms and Conditions: In case of breach of any terms and conditions as mentioned above, the Com petent Authority will have the right to cancel the Purchase order/work order/ job without assigning any reason t hereof and nothing will be payable by J.N. Medical College Hospital, AMU, Aligarh, in that event the security dep osit shall also stands forfeited.
• 9.In solvency etc:In the event of the firm being adjudged insolvent or having a receiver appointed for it by a co urt or any other order under the Insolvency Act made against them or in the case of a company the passing an y resolution or making of any order for winding up, whether voluntary or otherwise, or in the event of the firm f ailing to comply with any of the conditions here in specified, the Medical Superintendent, J.N. Medical College H ospital, AMU, Aligarh shall have the power to terminate the contract without any prior notice.
• 10.Bidder shall submit a copy of the tender document and addenda thereto, if any, with each page of this doc ument should be signed and stamped to confirm the acceptance of the entire terms &conditions as mentioned in the tender enquiry document.
• 11.Signed & stamped compliance sheet of the technical specification of the goods with technical printed literat ure must be enclosed with the bid.
• 12.Conditional bid will be treated as unresponsive and it may be rejected.
• 13.Applicable Law: The contract shall be governed by the laws and procedures established by Govt. of India within the fra mework of applicable legislation and enactment made from time to time concerning such Commercial dealings /processing. Any disputes are subject to exclusive jurisdiction of Competent Court and Forum in Aligarh Uttar Prade sh, India only. The Arbitration shall be held in accordance with the provisions of the Arbitration and Conciliation Act, 1 996 and the venue of arbitration shall be at Aligarh. The decision of the Arbitrator shall be final and bi nding on both the parties. 14.In case of technical snag/failure/breakdown the response time for the inspection should be within 24 hours other wise provide a service machine/alternate arrangement to be made till the period of recovery of the breakdown of th e unit, failing which attracts penal action as per the decision of institute/hospital.
• 15.The Bidder has to submit a notarized on the Indian Non-Judicial Stamp Paper of Rs.100/- that the bidder has not quoted the price higher than the current financial year and last financial year supplied to any government Institute/ Organization/reputed Private Organization. Therefore, if at any stage it has been found that the supplier has quoted lower rates than those quoted in this bid; the Institute (the purchaser) would be given the benefit of lower rates by t he Supplier and any excess payment if any, will become immediately payable to the Institute (the purchaser). If suc h an affidavit is not submitted, the bid will be out rightly rejected. (Part of technical bid).
• 16.Bidder should have a valid Drug License. It should be attached herewith.
• 17.The Authorization Certificate should be specific to JNMCH SUPPLY. It should be in the name of The M edical Superintendent, JNMCH, AMU, ALIGARH- 202001 .
