OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

• 1.Offers acceptance subject to end customer/AYCL approval
• 2.Material Specification: The material shall be supplied strictly in accordance with the specifi ed technical requirements and specifications.
• 3.Warranty: The warranty period shall be 24 months from the date of delivery or 18 months fr om the date of commissioning, whichever is earlier.
• 4.Performance Security: For purchase orders with a basic value exceeding ₹5,00,000/-, 5% of the Purchase Order value shall be retained from the supplier's bill as Performance Security an d released after completion of the warranty period. Alternatively, the supplier may submit a P erformance Bank Guarantee (PBG) for an equivalent amount in lieu of the retention.

• 6.Documents Required with Tender: The following documents must be uploaded along with th e tender: MSME/MSE Certificate, wherever applicable. Make in India Declaration. Acceptance of Technical Specifications and Tender Terms & Conditions. Turnover Documents (last 3 Years) Relevant Supply/Work Experience of Same or similar items ( not required for AYCL regist er vendor) TAX Rate will be 18 % including in quoted price.
• 7.Additional Documents for Unregistered Suppliers: Suppliers not registered with AYCL shall additionally submit the following documents along with those mentioned in Clause 6: Company Profile. GST Registration Certificate. PAN Card. Certificate of Incorporation, wherever applicable. Other relevant statutory and registration certificates.
• 8.Liquidated damages shall be levied @0.5% per week & part thereof subject to maximum ceiling of 5% of undelivered portion
• 9.AYCL reserves right to amend, withdraw, substitute or modify tender conditions as per proc urement procedures. AYCL reserves right to accept or reject any or all bids fully or partly.
• 10.All drawings, patterns, tools and technical documents supplied by AYCL shall remain AYCL property. Confidentiality and non-disclosure obligations shall apply wherever required.
• 11.Force Majeure conditions shall apply for circumstances beyond control of parties. In event of supplier default, AYCL reserves right for cancellation and risk purchase at supplier's risk an d cost after due notice.
• 12.ePBG /Bid Security (to be submitted within 14 days of PO) – total 5% of PO Basic Value .
• 14.CONTRACTOR STATUTORY COMPLIANCE All contractors/service providers deploying manpower inside factory premises shall comply wit h the following conditions. These conditions shall form an integral part of the Tender/Work Or der and non-compliance may lead to withholding of payment, termination of contract and blac klisting.
• 1.Contractor shall comply with all applicable labour laws including Minimum Wages Act/Co de on Wages, EPF Act, ESI Act, Contract Labour Act, Payment of Wages Act, Factory Rule s and other statutory provisions.
• 2.Contractor shall pay wages not less than applicable minimum wages
• 3.Wages shall be paid through bank transfer only on or before the 7th day of every month.
• 4.Contractor shall ensure timely deposit of PF and ESI contributions and comply with all st atutory obligations.
• 5.In cases where ESI is not applicable, contractor shall provide Group Mediclaim/Workmen Compensation/Personal Accident Insurance as applicable.
• 6.Contractor shall provide statutory benefits including bonus, weekly off, leave with wage s and overtime payment as per applicable laws.
• 7.Contractor shall provide PPEs, conduct safety induction and ensure compliance with fact ory safety rules.
• 8.Contractor shall not engage child labour & more than 60 years old labour.
• 9.The following documents shall mandatorily be submitted along with monthly bills: • Atte ndance Sheet • Salary/Wages Sheet • Salary Bank Transfer Proof • PF Challan & ECR • E SI Challan & Statement as applicable • Insurance Copy as applicable •
• 10.Bills may be withheld in case of non-submission of statutory documents or delayed pay ment to labour.
• 11.Company reserves the right to verify records, interact with workers, audit compliance an d directly pay labour dues in case of statutory default and recover the same from contra ctor bills.
• 12.Repeated violations, submission of false documents or statutory non-compliance may re sult in termination of contract and blacklisting. .
