OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Bidders are advised to check applicable GST on their own before quoting. Buyer will not take any responsibility in this regards. GST reimbursement will be as per actuals or as per applicable rates (whichever is lower), subject to the maximum of quoted GST %.

Bidder shall submit the following documents along with their bid for Vendor Code Creation:

• a.Copy of PAN Card.
• b.Copy of GSTIN.
• c.Copy of Cancelled Cheque.
• d.Copy of EFT Mandate duly certified by Bank.

While generating invoice in GeM portal, the seller must upload scanned copy of GST invoice and the screenshot of GST portal confirming payment of GST.

Buyer Added text based ATC clauses Additional Terms & Conditions

• 1.Submission of signed & stamped BHEL Technical Specifications, GEM ATC (NIT), a nd PQC Documents (as applicable) is mandatory. Same shall be attached while su bmitting the Bid.
• 2.No Commercial Terms & Conditions including the Price validity shall be quoted in the Offer. All the Terms & Conditions (including Price validity) shall be as per GEM tender Terms & Conditions only. Terms & Conditions quoted elsewhere will be su mmarily ignored and no claim against this will be entertained afterwards.
• 3.Bidders may note that Deviation to the NIT terms are not allowed in GEM, since t here is no scope of loading in the GEM and submission of the Bid implies that Bid der is accepting all the Terms & Conditions as per NIT that includes BHEL GEM AT C and GEM General Terms & Conditions.
• 4.Delivery Period: Delivery Period shall be as per GEM Enquiry only. Please submit your Quote considering the Delivery Period as per Enquiry. BHEL at its own discre tion may consider Delivery Period (as quoted in their Offer) other than GEM Enqui ry or disqualify the Offer for not meeting the Delivery requirement.
• 5.Offers insisting MOQ are liable for rejection. Quantity against each item shall be s trictly as per Enquiry only. Offers quoting the Quantities other than Enquiry quant ities cannot be considered and such requests to change the quantities after relea sing the PO will not be entertained.
• 6.Inspection/Test Certificate should be submitted by Supplier along with the Materi al and same shall be confirmed in the Technical Offer.
• 7.Clarifications if any shall be replied within the stipulated time and before the expi ry. BHEL will proceed further without considering the Offer if clarifications are not replied within stipulated time as per GEM Enquiry.
• 8.BHEL at its own discretion, can cancel the part or full Enquiry at any stage of pro cessing, before the placement of Purchase Order. Payment Terms:
• a.Micro & Small Enterprises (MSEs) - 100% Direct EFT payment within 45 days - Mfg. Only
• b.Medium Enterprises - 100% Direct EFT payment within 60 days
• c.Non MSME Bidders - 100% direct EFT Payment within 90 Days Note
• A.Above due date is reckoned from the date of Receipt of material or 15 days from the date of submissi on of complete set of documents as per PO whichever is later. Payment will be made on acceptance o f Material.
• B.MSEs (covered under MSME Act) need to register and renew periodically and update the same with BH EL.
• C.The taxes that are reimbursed are limited to applicable taxes as on the Purchase Order delivery date o r the amount actually paid whichever is less.
• D.Adherence to the above time schedule of payment is contingent upon Bidder complying with GST prov isions and availment of Input Tax Credit by BHEL before the date of payment.
• E.In case of packaged items, 10% of supply value will be retained till completion of total supplies.
• F.Claiming MSE Purchase Preference To claim MSE Purchase Preference, the bidder must be the manufacturer of the of fered product. Traders are not eligible for this preference. To avail the MSE Purchase Preference benefits under the government's procurem ent policy, the bidder must explicitly "opt-in" by selecting the MSE category and uploading the relevant MSE registration certificate during the bid submission proc ess. If the bidder does not opt-in, their bid will not be considered for MSE preferen ce. MSE benefits are not applicable to Traders/Wholesalers registered as MSEs Offers not complying BHEL Payment terms will be rejected. .

Participation by the bidder in RA process would be considered as their consent for extension in offer validity by 30 days by the date of RA initiation.
