OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Without prejudice to Buyer’s right to price adjustment by way of discount or any other right or remedy available to Buyer, Buyer may terminate the Contract or any part thereof by a written notice to the Seller, if:

• i)The Seller fails to comply with any material term of the Contract. ii) The Seller informs Buyer of its inability to deliver the Material(s) or any part thereof within the stipulated Delivery Period or such inability otherwise becomes apparent. iii) The Seller fails to deliver the Material(s) or any part thereof within the stipulated Delivery Period and/or to replace/rectify any rejected or defective Material(s) promptly. iv) The Seller becomes bankrupt or goes into liquidation.
• v)The Seller makes a general assignment for the benefit of creditors. vi) A receiver is appointed for any substantial property owned by the Seller. vii) The Seller has misrepresented to Buyer, acting on which misrepresentation Buyer has placed the Purchase Order on the Seller.

• 1.The Seller shall not assign the Contract in whole or part without obtaining the prior written consent of buyer.
• 2.The Seller shall not sub-contract the Contract in whole or part to any entity without obtaining the prior written consent of buyer.
• 3.The Seller shall, notwithstanding the consent and assignment/sub-contract, remain jointly and severally liable and responsible to buyer together with the assignee/ sub-contractor, for and in respect of the due performance of the Contract and the Sellers obligations there under.

Bidders are advised to check applicable GST on their own before quoting. Buyer will not take any responsibility in this regards. GST reimbursement will be as per actuals or as per applicable rates (whichever is lower), subject to the maximum of quoted GST %.

Installation, Commissioning, Testing, Configuration, Training (if any - which ever is applicable as per scope of supply) is to be carried out by OEM / OEM Certified resource or OEM authorised Reseller.

Manufacturer Authorization:Wherever Authorised Distributors/service providers are submitting the bid, Authorisation Form /Certificate with OEM/Original Service Provider details such as name, designation, address, e-mail Id and Phone No. required to be furnished along with the bid

Products supplied shall be nontoxic and harmless to health. In the case of toxic materials, Material Safety Data Sheet may be furnished along with the material.

Supplier shall ensure that the Invoice is raised in the name of Consignee with GSTIN of Consignee only.

ISO 9001: The bidder or the OEM of the offered products must have ISO 9001 certification.

Bidder's offer is liable to be rejected if they don't upload any of the certificates / documents sought in the Bid document, ATC and Corrigendum if any.

Buyer Added text based ATC clauses

• 12.Compatibility: The toner cartridge supplied shall be fully compatible with the printer/multifunction machine model(s) spe cified in the bid and shall function properly without causing damage to the equipment.
• 13.Quality of Cartridge: The cartridges supplied shall be brand new, unused and free from any manufacturing defect. Refur bished, remanufactured, refilled or used cartridges shall not be accepted unless specifically permitted in t he bid specification.
• 14.Genuine/OEM Cartridge: Where the bid specification requires an OEM cartridge, the supplied cartridge shall be genuine and manufa ctured by the concerned Original Equipment Manufacturer (OEM). The seller shall furnish documentary evi dence of genuineness/authorization wherever applicable.
• 15.Page Yield: The toner cartridge shall have the page yield specified in the GeM catalogue/bid specification, based on th e applicable standard/test methodology declared by the manufacturer. The cartridge shall not be accepted if the declared yield is materially lower than the specified requirement.
• 16.Shelf Life: The cartridges supplied shall have adequate remaining shelf life at the time of delivery. As far as practicab le, the cartridge should have at least 80% of its original shelf life remaining at the time of supply.
• 17.Packaging: The cartridges shall be supplied in proper original/sealed packaging, wherever applicable, with details suc h as manufacturer/OEM, cartridge number/part number, batch/serial number, manufacturing date and othe r relevant identification details clearly visible.
• 18.Defective/Non-compatible Cartridge: If any cartridge is found defective, damaged, leaking, incompatible or otherwise not conforming to the pre scribed specifications, the seller shall replace the same with a new and conforming cartridge within 7 day s of receipt of intimation from the consignee, without any additional cost to the Buyer.
• 19.Inspection and Acceptance: The consignee shall have the right to inspect the supplied cartridges at the time of receipt and/or subsequ ently during their use. Acceptance of the material at the time of delivery shall not prejudice the Buyer's rig hts under the applicable warranty/guarantee provisions of GeM.
• 20.Warranty/Guarantee: Warranty/guarantee shall be as per the applicable GeM terms and the specific bid specifications. Any cartri dge found defective during the applicable warranty/guarantee period shall be replaced by the seller withou t additional cost to the Buyer.
• 21.Delivery: The seller shall deliver the complete quantity within the delivery period specified in the GeM contract. Part supply shall not be treated as complete delivery unless specifically accepted by the Buyer.
• 22.Documentation: The seller shall provide invoice and delivery documents containing the description, cartridge part/model nu mber, quantity and other relevant identification details of the supplied cartridges.
• 23.Price: The quoted price shall be inclusive of all applicable costs including packing, forwarding, transportation, deli very and other incidental charges up to the consignee's location, as applicable under the GeM contract.
• 24.Compliance with GeM Terms: All other terms and conditions shall be governed by the prevailing GeM General Terms and Conditions (GT C), applicable Category Specifications, Bid/RA conditions and other applicable GeM terms.
• 25.Statutory Procurement Policies: The procurement shall be subject to applicable Government procurement policies, including the provisions relating to Make in India, MSE purchase preference and other applicable statutory/administrative instructio ns, as incorporated in the GeM bidding system.
• 26.No Conflict with GeM Conditions: In case of any inconsistency between these Buyer Added Bid Specific Terms and the applicable GeM GTC/C ategory Specifications, the applicable GeM provisions shall prevail to the extent prescribed by GeM. .

Participation by the bidder in RA process would be considered as their consent for extension in offer validity by 30 days by the date of RA initiation.
