OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Bidders are advised to check applicable GST on their own before quoting. Buyer will not take any responsibility in this regards. GST reimbursement will be as per actuals or as per applicable rates (whichever is lower), subject to the maximum of quoted GST %.

Bidder shall submit the following documents along with their bid for Vendor Code Creation:

• a.Copy of PAN Card.
• b.Copy of GSTIN.
• c.Copy of Cancelled Cheque.
• d.Copy of EFT Mandate duly certified by Bank.

Without prejudice to Buyer’s right to price adjustment by way of discount or any other right or remedy available to Buyer, Buyer may terminate the Contract or any part thereof by a written notice to the Seller, if:

• i)The Seller fails to comply with any material term of the Contract. ii) The Seller informs Buyer of its inability to deliver the Material(s) or any part thereof within the stipulated Delivery Period or such inability otherwise becomes apparent. iii) The Seller fails to deliver the Material(s) or any part thereof within the stipulated Delivery Period and/or to replace/rectify any rejected or defective Material(s) promptly. iv) The Seller becomes bankrupt or goes into liquidation.
• v)The Seller makes a general assignment for the benefit of creditors. vi) A receiver is appointed for any substantial property owned by the Seller. vii) The Seller has misrepresented to Buyer, acting on which misrepresentation Buyer has placed the Purchase Order on the Seller.

• (i). In the event of any dispute or difference relating to the interpretation and application of th e provisions of commercial purchases and contract(s) between Central Public Sector Enterpr ises (CPSEs) / Port Trusts interse and also between CPSEs and Government Departments / O rganizations (excluding disputes relating to Railways, Income Tax, Customs & Excise Depart ments), such dispute or difference shall be taken up by either party for its resolution through AMRCD as mentioned in DPE OM No. 05/0003/2019-FTS-10937 Dated 14 December 2022 and the decision of AMRCD on the said dispute will be binding on both the parties.
• (ii). The Bidders are requested to furnish Green Energy/ Eco Friendly products manufactured / s upplied.
• (iii). As per the MSME policy, to achieve 4% target from SC/ST vendors, the following options will be exercised:
• (a). Among the 358 items reserved for procurement from MSE firms, if any of the items are b eing manufactured by SC/ST vendors, the entire requirement will be procured only from SC/ST vendors.
• (b). If any of the SC/ST vendors falls within L1 + 15%, the entire 25% preference earmarked for MSE vendor will be placed on SC/ST vendors, irrespective of their price ranking amon g MSEs subject to bringing down of price to L1 by the SC/ST vendors concerned.
• (iv)PAYMENT TERMS
• 1.All the payments will be made within 45 days from the appointed day i.e. - From the date of delivery of goods or rendering of services; or - Where any objection is made in writing by the buyer regarding acceptance of goods or Serv ices within 15 days from the day of the delivery of goods or the rendering of service, The da y on which such objection is removed by the supplier." • 2.TReDS Condition: All the MSME payments will be made through TReDS service platform within the stipulated time.
• (v)Bidders should furnish the duly completed Additional Terms and Conditions (ATC) document, with all clauses appropriately filled in, signed and sealed. .
