OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

While generating invoice in GeM portal, the seller must upload scanned copy of GST invoice and the screenshot of GST portal confirming payment of GST.

Scope of supply (Bid price to include all cost components) : Supply Installation Testing Commissioning of Goods and Training of operators and providing Statutory Clearances required (if any)

• 4.Turnover Bidder Turn Over Criteria: The minimum average annual financial turnover of the bidder during the last three years, ending on 31st March of the previous financial year, should be as indicated in the bid document. Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the bidder is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria.

Documentary evidence in the form of certified Audited Balance Sheets of relevant periods or a certificate from the Chartered Accountant / Cost Accountant indicating the turnover details for the relevant period shall be uploaded with the bid. In case the date of constitution / incorporation of the OEM is less than 3 year old, the average turnover in respect of the completed financial years after the date of constitution shall be taken into account for this criteria. In case of bunch bids, the OEM of CATEGORY RELATED TO primary product having highest bid value should meet this criterion.

IMPORTED PRODUCTS: In case of imported products, OEM or Authorized Seller of OEM should have a registered office in India to provide after sales service support in India. The certificate to this effect should be submitted.

Availability of Service Centres: Bidder/OEM must have a Functional Service Centre in the State of each Consignee's Location in case of carry-in warranty. (Not applicable in case of goods having on-site warranty). If service center is not already there at the time of bidding, successful bidder / OEM shall have to establish one within 30 days of award of contract. Payment shall be released only after submission of documentary evidence of having Functional Service Centre.

Escalation Matrix For Service Support : Bidder/OEM must provide Escalation Matrix of Telephone Numbers for Service Support.

Bidder's offer is liable to be rejected if they don't upload any of the certificates / documents sought in the Bid document, ATC and Corrigendum if any.

ISO 9001: The bidder or the OEM of the offered products must have ISO 9001 certification.

Material Test Certificate Should Be Sent Along with The Supply. The Material Will Be Checked by Buyer’s Lab & the Results of the Lab will be the Sole Criteria for Acceptance of the Item.

The bidder is required to upload, along with the bid, all relevant certificates such as BIS licence, type test certificate, approval certificates and other certificates as prescribed in the Product Specification given in the bid document.

To be eligible for award of contract, Bidder / OEM must possess following Certificates / Test Reports on the date of bid opening (to be uploaded with bid): Required .

Timely Servicing / rectification of defects during warranty period: After having been notified of the defects / service requirement during warranty period, Seller has to complete the required Service / Rectification within 7 days time limit. If the Seller fails to complete service / rectification with defined time limit, a penalty of 0.5% of Unit Price of the product shall be charged as penalty for each week of delay from the seller. Seller can deposit the penalty with the Buyer directly else the Buyer shall have a right to recover all such penalty amount from the Performance Security (PBG).Cumulative Penalty cannot exceed more than 10% of the total contract value after which the Buyer shall have the right to get the service / rectification done from alternate sources at the risk and cost of the Seller besides forfeiture of PBG. Seller shall be liable to re-imberse the cost of such service / rectification to the Buyer.

Buyer Added text based ATC clauses

• 1.Manufacturer’s Authorization Form (MAF). The bidder must submit an ink-signed, bid-specific Manufactu rer’s Authorization Form (MAF) issued by the Original Equipment Manufacturer (OEM). The Buyer reserves the right to authenticate the MAF directly with the OEM. Any submission of forged, false, or fabricated doc uments will lead to criminal proceedings under applicable forgery laws, immediate disqualification from th e tender, and blacklisting from all future Government, eTender, and GeM procurement activities.
• 2.Compliance with “Make in India” Initiative. The proposed product must conform to the “Make in India” g uidelines. A detailed product catalogue and datasheet—issued either by the OEM or the bidder must be en closed with the bid. The submitted information will be cross verified with the official OEM website. Any mis match or unverifiable data will result in immediate disqualification.
• 3.Product Certification Standards. The product must be certified as per the following standards: ISO 9001, ISO 14001, ISO 27001, ISO 45001, ISO 50001, RoHS, VAPT, IEEMA Membership Certificate, State Productio n Certificate, D&B Certificate with financial credibility rating above 2A2. Cyber Security Compliance – Stan dard to be followed: ISA /IEC 62443-1. VAPT Certificate from Government-recognized CERT-IN (MeitY) emp aneled vendor for SNMP card and CMS software. Valid supporting certificates must be submitted with the b id.
• 4.Declaration of non-blacklisting. Bidders must submit a declaration on a non-judicial stamp pa per worth ₹300/-, affirming that they have not been blacklisted by any Government or Semi-Government body. This declaration must also include unconditional acceptance of all terms and conditions mentioned in the Requ est for Proposal (RFP), as detailed in Annexure I. The stamp paper must be da ted post the official tender p ublication date.
• 5.OEM Financial Eligibility. The OEM must have an average annual turnover of at least. A certifi cate from a Chartered Accountant is mandatory, however, an auditor’s certificate may be accepted i n the absence o f audited financials.
• 6.Document Verification. Evaluation of the bidder’s eligibility will be based on the authenticity and comple teness of submitted certifications and supporting documents. The Buyer reserves the right to verify all suc h documents.
• 7.Technical Compliance. All products supplied must comply with latest BIS/IEC/ISO standards. Eq 16 / 19 e quipment must support fail-safe operation, redundancy features, must be compatible with the upgraded sy stem. If Bidder Suspended from GEM Portal that bidder not accepted for technical evaluation.
• 8.Bidder Financial Standing. The Bidder Should Not Be Under Liquidation, Court Receivership or Similar Pr oceedings, Should Not Be Bankrupt. Bidder To Upload Undertaking to This Effect with Bid. Company owner /any authorized personnel have to submit an affidavit of understanding written on 100 Rs notarized stamp paper stating that all the documents which are submitted are authentic.
• 9.Force Majeure Neither party shall be liable for failure to perform obligations due to causes beyond their control such as natural disasters, war, pandemic, etc.
• 10.Confidentiality The vendor shall not disclose any technical or operational data shared during the execu tion of the project to third parties without prior written consent.
• 11.Insurance The vendor shall arrange for transit insurance and insurance of on-site personnel and equip ment until project handover.
• 12.Warranty. A comprehensive warranty of at least 2 years from the date of installation/commissioning is required and must be provided by the supplier .

Participation by the bidder in RA process would be considered as their consent for extension in offer validity by 30 days by the date of RA initiation.
