Custom Bid For Services - NON COMPREHENSIVE ANNUAL MAITENANCE CONTRACT FOR THERMOSTREAM SYSTEMS FOR 02 NOS

• 1.The Seller shall not assign the Contract in whole or part without obtaining the prior written consent of buyer.
• 2.The Seller shall not sub-contract the Contract in whole or part to any entity without obtaining the prior written consent of buyer.
• 3.The Seller shall, notwithstanding the consent and assignment/sub-contract, remain jointly and severally liable and responsible to buyer together with the assignee/ sub-contractor, for and in respect of the due performance of the Contract and the Sellers obligations there under.

Escalation Matrix For Service Support : Bidder/OEM must provide Escalation Matrix of Telephone Numbers for Service Support.

Buyer Added text based ATC clauses Denial Clause: Denial clause informs Seller that the Buyer reserves the right to admit additiona l payment due to upward revision of statutory levies beyond the original deliver y schedule in case Seller fails to deliver the goods as per schedule. Variations in the rates of statutory levies within the original delivery schedule will be allowed if taxes are explicitly mentioned in the contract/supply order and delivery has n ot been made till the revision of the statutory levies. Buyer reserves the right n ot to reimburse the enhancement of cost due to increase in statutory levies bey ond the original delivery period of the supply order/contract even if such extens ion is granted without imposition of LD. Other Terms: 1.Industry Partner should submit MII declaration certificate as per ATC format 2.Industry Partner who are eligible as MSE are required to submit the bid declara tion form as per ATC format.

• 3.Firm / Industry Partners should go through the Scope of Work thoroughly befo re participating in the Bidding and submit point-wise compliance along with tech nical bid, otherwise the bid will be rejected
• 4.Contract awardee should submit e-PBG or DD or FD within 15 days from the co ntract Generated Date otherwise the GeM Contract will be terminated or cancelle
